Power Upgrade Agreement

This Power Upgrade Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Contractor Name: .

Whereas

WHEREAS, Client owns or controls the premises located at Service Address: (the "Premises"); and

WHEREAS, Contractor is duly licensed and experienced in electrical and power system upgrades and will perform the work described below in accordance with the terms of this Agreement; and

WHEREAS, Client desires to engage Contractor to design, supply, install, and commission upgrades to the Premises' electrical service to increase capacity, reliability, or both, and Contractor agrees to undertake such work under the terms set forth herein.

Scope of Work

Work shall include all labor, materials, equipment, testing, commissioning, and disposal of replaced equipment necessary to complete the upgrade in compliance with applicable codes and utility company requirements. Any work beyond the defined scope shall require a written change order executed by both parties.

Late Payment: Any unpaid amount not received within days of the due date shall incur a late fee equal to or the maximum permitted by law, whichever is less. Client shall also be responsible for reasonable collection costs, including attorneys' fees, incurred by Contractor to collect overdue amounts.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. Client may terminate for convenience upon days' prior written notice; in such case, Contractor shall be entitled to payment for work performed, materials procured, and reasonable demobilization costs.

All changes to the Scope of Work shall be documented in a written change order signed by both parties describing the changes, the adjustment to the Contract Price, and any extension to the Completion Date. Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except to the extent necessary to perform obligations hereunder, to comply with applicable law, or to enforce legal rights. Confidential information shall not include information that is or becomes public through no fault of the receiving party or that is independently developed by the receiving party without use of the disclosing party's confidential information.

Warranties; Insurance

Contractor warrants that the Work will be performed in a professional and workmanlike manner and in accordance with industry standards for a period of from substantial completion. This warranty shall not cover defects resulting from misuse, modification, or acts of third parties. Contractor shall maintain at its expense workers' compensation, commercial general liability, and automobile liability insurance in amounts customary for the scope of this work and shall provide certificates of insurance upon request.

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special, or punitive damages arising out of or related to this Agreement. The aggregate liability of Contractor for any claim arising out of or related to this Agreement shall not exceed the total Contract Price paid by Client.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties shall attempt to resolve disputes in good faith prior to initiating litigation. If litigation is necessary, the parties submit to the exclusive jurisdiction and venue of the state or federal courts located in the county in which the Premises are located.

Entire Agreement; Severability

This Agreement, together with any attached schedules and executed change orders, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
