POWER WASH SERVICE AGREEMENT

WHEREAS

WHEREAS, Client owns or controls the property located at Service Address: (the Property); and

WHEREAS, Contractor provides professional power washing and related surface-cleaning services and represents that Contractor has the experience, necessary equipment, insurance and qualifications to perform the work described herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the power wash services to be performed at the Property.

Contractor shall supply all labor, equipment, pressure-washing/soft-washing materials, and surface protection reasonably necessary to perform the Scope of Work. Contractor will take reasonable precautions to protect surrounding landscaping, glass, screens and finished surfaces; however, Contractor is not responsible for pre-existing conditions or surfaces that are not sound or sealed.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means non-public business information designated as confidential or which, by its nature, should reasonably be considered confidential. Each party shall: (a) hold Confidential Information of the other in confidence; (b) not disclose Confidential Information to third parties except to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations; and (c) use Confidential Information only to perform obligations under this Agreement. Confidentiality obligations do not apply to information that is publicly available, rightfully received from a third party without breach, or required to be disclosed by law with prior notice to the disclosing party where permitted.

INSURANCE, INDEMNIFICATION AND LIABILITY

Contractor represents that it maintains commercial general liability insurance and workers' compensation coverage as required by law. Contractor shall provide proof of insurance upon Client request. To the fullest extent permitted by law, Contractor shall indemnify, defend and hold harmless Client from claims, damages or losses arising from Contractor's negligent acts or omissions in performing the Scope of Work, except to the extent caused by Client's negligence.

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, CONTRACTOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. CONTRACTOR'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO CONTRACTOR UNDER THIS AGREEMENT.

PERMITS, ACCESS, AND SITE CONDITIONS

Client shall obtain and pay for any permits or approvals required by governmental authorities for the work. Client shall ensure reasonable access to the Property and notify Contractor of any known hazardous conditions. Contractor is not responsible for pre-existing structural defects, lead paint issues, rotted surfaces, or concealed conditions that may affect the safe performance of power washing; such conditions may require additional charges or work stoppage until resolved.

WARRANTY

Contractor warrants that work performed in a workmanlike manner for a period of days from completion. This warranty covers correction of defects in workmanship but does not cover failure due to normal wear, improper maintenance, pre-existing conditions, or damage caused by third parties or weather.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any dispute arising under this Agreement shall lie exclusively in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, together with any written attachments or accepted change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, representations and understandings. Any modification must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that Contractor may subcontract portions of the work so long as Contractor remains responsible for performance.
