Confidentiality

Confidential Information shall not include information that is (a) publicly known through no breach of this Agreement, (b) rightfully received from a third party without restriction, or (c) independently developed without use of Confidential Information.

The receiving party shall use Confidential Information solely to evaluate and perform its obligations under this Agreement, shall limit access to those employees and advisers with a need to know, and shall apply reasonable measures to protect Confidential Information from unauthorized disclosure. Upon written request or upon termination, Confidential Information (and copies) shall be returned or destroyed, except to the extent retention is required by law, with notice to the disclosing party.

Parties acknowledge and agree to be bound by the confidentiality obligations set forth above.

Representations and Warranties

Each party represents and warrants that (a) it has the full power and authority to enter into this Agreement, (b) execution and performance will not violate any other agreement to which it is a party, and (c) it will comply with applicable laws in performing its obligations. Proposer represents that to its knowledge all material information provided is true and correct as of the date of this Proposal.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in connection with a merger or sale of substantially all assets, provided that the assignee assumes the obligations hereunder.
