Parties

WHEREAS

WHEREAS, Party A is engaged in the business of and has offered preliminary terms to Party B for potential collaboration; and

WHEREAS, the Parties desire to set forth certain material terms and the intended scope of a proposed transaction in advance of a definitive agreement, subject to the terms and conditions herein.

Payment Terms

In consideration for the preliminary scope of work, Party B shall pay Party A in accordance with the following terms.

Term and Termination

The Parties agree that this Pre-Agreement is intended to govern the Parties' relationship from the Effective Date until the earlier of the execution of a definitive agreement or termination as set forth below.

Either Party may terminate this Pre-Agreement for cause upon material breach that remains uncured for the notice period set forth above. Termination shall not relieve either Party of obligations accrued prior to termination.

Confidentiality

Each Party (the Receiving Party) acknowledges that during the course of discussions and performance it may obtain Confidential Information of the other Party (the Disclosing Party). Confidential Information means non-public information that is identified as confidential or that by its nature should be treated as confidential. The Receiving Party shall:

  1. Use Confidential Information solely for the purposes of evaluating or performing the transactions contemplated by this Pre-Agreement;
  2. Limit disclosure of Confidential Information to employees, agents, or advisors who have a need to know and who are bound to confidentiality obligations no less restrictive than those herein;
  3. Protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care;
  4. Not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party, except as required by law (provided prompt notice is given to allow the Disclosing Party to seek protective relief).

Confidentiality obligations shall survive termination of this Pre-Agreement for a period of three (3) years, except with respect to trade secrets, for which the Receiving Party's obligations shall continue as long as such information remains a trade secret under applicable law.

Representations and Warranties

Each Party represents and warrants to the other that: (a) it has the full right, power, and authority to enter into this Pre-Agreement and to perform its obligations hereunder; and (b) the execution and performance of this Pre-Agreement will not violate any applicable law or any agreement to which it is a party.

Governing Law

This Pre-Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The Parties submit to the exclusive jurisdiction of the courts located in the selected jurisdiction for any dispute arising out of or relating to this Pre-Agreement.

Non-Binding vs Binding Provisions

Unless the Parties execute a definitive agreement, this Pre-Agreement is intended to record preliminary terms and generally is non-binding with respect to a final transaction, except for the following provisions which are binding upon the Parties: Confidentiality; Governing Law; and this paragraph addressing binding effect. By checking the box below, the Parties confirm whether certain commercial terms shall be binding pending a definitive agreement.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, in no event shall either Party be liable to the other for consequential, incidental, special, or punitive damages arising out of or related to this Pre-Agreement, and each Party's aggregate liability shall be limited to direct damages not to exceed the total fees actually paid under any definitive agreement resulting from this Pre-Agreement or, if none, the total fees paid under this Pre-Agreement.

Entire Agreement

This Pre-Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, and agreements, whether written or oral, relating to such subject matter. Any amendment to this Pre-Agreement must be in writing and signed by authorized representatives of both Parties.

Miscellaneous

If any provision of this Pre-Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither Party may assign its rights or delegate its obligations under this Pre-Agreement without the prior written consent of the other Party, except that either Party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

What a Pre-Agreement Template Is and When It’s Used

A Pre-Agreement Template is a short, standardized document that records key terms negotiated before a formal contract is drafted. It typically lists parties, scope, price or consideration, key deadlines, and conditions precedent such as due diligence, financing, or board approval. Pre-agreements are used to preserve negotiated terms while parties finalize detailed documents, reduce miscommunication, and create an audit trail of agreed commercial points prior to full contract execution.

Why Use a Pre-Agreement Template and Its Legal Basis

A clear pre-agreement reduces negotiation risk, documents mutual intent, and speeds contract close. Electronic execution is enforceable in most U.S. commercial contexts under the ESIGN Act (15 U.S.C. ch. 96) and state UETA statutes, provided intent, consent, attribution, and record retention requirements are satisfied.

Why Use a Pre-Agreement Template and Its Legal Basis

Who Typically Prepares and Signs a Pre-Agreement

Different teams use pre-agreements to lock summary terms before full contracts: legal, business development, procurement, and external counsel often collaborate on these templates.

  • In-house counsel and legal teams: Draft standardized language and approve binding clauses before final contract preparation.
  • Sales and business development: Capture commercial terms and timelines to move deals forward and align expectations.
  • Procurement and finance: Record pricing, payment terms, and conditions to trigger internal approvals and budget holds.

Use a pre-agreement when parties need a concise, signed record of negotiated terms that preserves deal momentum without waiting for a full-length contract.

Essential Elements to Include in a Professional Pre-Agreement

A robust pre-agreement balances brevity with precision: include identity, scope, primary commercial terms, conditions precedent, timelines, and signing blocks so the document is usable as a reference during final drafting.

Parties

Full legal names and entity types for each party, including state of incorporation or formation and a primary business address for notice purposes.

Scope

Concise description of goods, services, or transaction scope that the later formal agreement will expand and detail.

Consideration

Agreed price, payment milestones, or non-monetary consideration with currency, timing, and any holdback or escrow summary.

Conditions

List material conditions precedent such as due diligence, financing, regulatory approvals, or third-party consents and their target dates.

Timing

Key deadlines: signing window, exclusivity period (if any), target closing date, and notice periods for termination.

Signature Block

Designated signature lines for authorized signatories with printed name, title, date, and witness/notary language if required.

Required Fields to Complete Accurately

Party Names: Exact legal names
Effective Date: MM/DD/YYYY format
Scope Summary: Short definitive phrase
Price Terms: Currency and amounts
Conditions: Clear milestone list
Signatures: Printed name and title

Step-by-Step: How to Fill Out a Pre-Agreement Template

Follow a consistent sequence to reduce errors: identify parties, set scope, capture commercial terms, list conditions, set timelines, and prepare the signature block for authorized signers.

  • 01
Identify Parties: Enter the exact legal entity names and addresses.
  • 02
Define Scope: Summarize goods or services succinctly in one paragraph.
  • 03
Record Consideration: Specify amounts, payment method, and milestones.
  • 04
Set Deadlines: Add target dates for closing and conditions.

How to Customize and Complete the Template Online

Configure an online workflow so placeholders, approvals, and signature order are enforced and auditable before sending to external parties.

Field Configuration
Signer Order Sequential or parallel routing
Required Fields Make party name, date, and signature mandatory
Authentication Email link, SMS code, or KBA
Audit Trail Capture IP, timestamp, and actions

Where to Send, File, or Submit a Signed Pre-Agreement

Decide routing based on role: retain an executed copy internally, send countersigned copies to counterparties, and file in contract management or shared storage systems for future reference.

  • Internal Records: Save in contract repository or legal folder.
  • Countersigned Copy: Email signed PDF to all parties for their records.
  • Contract Management: Upload to CM system and link to the master record.
  • Regulatory Filing: File only if law or industry requires public recording.

Technical Options for Sharing and Signing

Choose delivery and signing channels that match signer access, security needs, and internal records retention policies.

  • Email Link: Simple access for external signers
  • In-Platform Send: Use authenticated workflows and audit trails
  • Integrations: Salesforce, NetSuite, Google Workspace support

Ensure the chosen platform meets legal, security, and recordkeeping requirements; integrate with your storage and CRM systems to preserve a single source of truth.

Typical Timelines and Processing Expectations

Timelines vary by deal complexity. Set clear internal response targets, external signing windows, and contingency periods for due diligence to avoid unintended expiration or lapse of exclusivity.

Negotiation Window:

Usually 7–30 days depending on complexity

Exclusivity Period:

Commonly 30–90 days, specified in template

Signing Window:

Specify X days for counterparty signature

Conditions Deadline:

Target dates for financing or approvals

Record Retention:

Archive executed copy immediately after signing

Common Preparation Mistakes to Avoid

  • Using informal or ambiguous language for price or scope that leaves room for differing interpretations and later disputes.
  • Failing to specify whether the pre-agreement is binding or non-binding, creating uncertainty about enforceability and incurring unexpected obligations.
  • Not confirming the signatory's authority; unsigned or improperly authorized signatures can render a pre-agreement unenforceable.
  • Omitting conditions precedent or deadlines, which can lead to missed milestones and misaligned expectations between parties.

Key Risks and Potential Consequences

Contract Voidability: Terms may be voided
Enforceability Risk: Unclear intent harms enforcement
Performance Delay: Missed deadlines cause losses
Reputational Damage: Conflicts may escalate publicly
Financial Exposure: Costs from wrongful reliance
Tax Reporting: Incorrect figures affect filings
