What a Pre-Arbitration Agreement Is and What It Covers

The Pre-Arbitration Agreement is a written contract used to require parties to attempt certain pre-filing dispute resolution steps—mediation, negotiation, or an administrative review—before starting arbitration or litigation. It typically defines the scope of covered disputes, timelines for initiating the pre-arbitration process, confidentiality obligations, and the steps each party must take to engage in informal resolution. The agreement clarifies whether participation is mandatory, identifies the neutral facilitator if applicable, and records the parties’ consent to subsequent arbitration procedures. It is a preventative tool used to narrow disputes and reduce formal proceedings.

Why Parties Use a Pre-Arbitration Agreement

Using a Pre-Arbitration Agreement can streamline dispute handling by establishing clear procedures, conserving time and legal expense, and documenting parties’ commitments to mitigation steps that often reduce the scope or cost of later arbitration or litigation.

Why Parties Use a Pre-Arbitration Agreement

Organizations and Roles That Commonly Use Pre-Arbitration Agreements

Common users include organizations that handle recurring disputes or high-volume contracts where early resolution can limit cost and operational disruption.

  • In-house legal teams using precedent agreements to reduce litigation and encourage negotiation before arbitration.
  • Service providers and vendors who prefer contractually required mediation to preserve client relationships and avoid disruptive hearings.
  • Regulated industries seeking documented steps to satisfy oversight or compliance review obligations.

Smaller firms and individuals also use these agreements when bilateral disputes are predictable and early resolution preserves business relationships and limits expense.

Core Elements to Include for a Professionally Drafted Agreement

A professional Pre-Arbitration Agreement organizes party obligations, timelines, confidentiality, scope, dispute resolution steps, and signature authority to reduce ambiguity and expedite enforcement.

Parties

Identify each contracting party by full legal name, entity type, and contact information. If an entity signs, specify authorized signers and include title lines to clarify authority and avoid later challenges.

Scope

Define included and excluded dispute categories, such as contract interpretation, billing disputes, or warranty claims. Clear scope prevents collateral disputes about which matters must follow the pre-arbitration process.

Process

Lay out the sequence of steps—notice, information exchange, mediation, expert review—with precise timing, required materials, and the party responsible for initiating and arranging each stage to reduce confusion.

Timelines

Use fixed day counts and calendar definitions (business days vs calendar days). Include extension mechanisms and consequences for missed deadlines to preserve rights and predictability.

Confidentiality

Set confidentiality scope for communications, mediation submissions, and settlement discussions. Specify permitted disclosures for legal process or regulatory reporting and whether confidentiality survives the agreement termination.

Consequences

Describe remedies for noncompliance, such as cost-shifting, striking defenses, or proceeding directly to arbitration. Clarify whether participation is mandatory and how refusal affects subsequent proceedings.

Security, Compliance, and Platform Protections to Consider

Encryption in transit: TLS 1.2 and 1.3 encryption
Encryption at rest: AES-256 encryption applied to stored data
HIPAA: HIPAA compliant with BAA available
21 CFR Part 11: Supports FDA electronic records compliance
Certifications: SOC 2 Type II, ISO 27001
eSign Laws: ESIGN and UETA compliant

Key Risks and Consequences of Problematic Agreements

Unenforceability: Agreement deemed invalid
Waiver risk: Accidental rights waiver
Procedural defaults: Missed deadlines bind parties
Court refusal: Judge may refuse enforcement
Costs increase: Higher litigation expenses
Compliance violations: State law noncompliance risk

Common Preparation Mistakes to Avoid

  • Vague scope language that leaves key dispute types ambiguous, triggering motion practice about arbitrability and delaying resolution.
  • Open-ended deadlines or undefined business day definitions cause missed notices and forfeited remedies under tightly timed contractual schemes.
  • Failure to name authorized signers for entities creates challenges proving authority and can invalidate the execution for that party.
  • Neglecting to include confidentiality carve-outs for legal or regulatory disclosures invites compliance conflicts and unexpected disclosure obligations.

How Online Execution and eSubmission Typically Works

Typical workflow shows document preparation, notification, signer authentication, and completion with audit trail for later enforcement.

  • Upload: Sender uploads final agreement document.
  • Place Fields: Add signature, date, and initial fields.
  • Authenticate: Confirm signer identity via email or MFA.
  • Complete: Signed copies and audit trail are stored.

Set Up an Online Workflow That Matches the Agreement

Configure the online workflow to mirror the agreement’s order of operations, authentication, and retention requirements before sending to signers.

Field Configuration
Signer Order Sequential or parallel signing; choose required order.
Authentication Method Email link, SMS code, or knowledge-based authentication.
Reminders Set automatic reminders and escalation emails for overdue actions.
Retention Store signed PDF, audit log, and access records.

Technical and Integration Considerations

Ensure the platform supports secure e-signatures, audit trails, and your chosen authentication level before electronic execution.

  • File Formats: PDF, DOCX, and HTML supported.
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, or SSO

Timing Rules and Typical Deadlines to Document

Key timing considerations include notice periods, response deadlines, and statutory filing dates that may affect enforcement or toll statutes of limitation.

Notice Deadline:

Specify days to provide initial written notice

Response Time:

Set responder timeframe in business days

Mediation Period:

Allow fixed days for scheduling and attendance

Arbitration Filing:

State when arbitration may be filed after process

Statutory Limits:

Note any tolling or statute of limitations effects
