RECITALS

WHEREAS, Client Name: seeks to secure the services described herein prior to the execution of a final binding services agreement; and

WHEREAS, Service Provider Name: has represented its ability to perform the services on the terms set forth in this pre-bind document; and

TERM AND TERMINATION

Either party may terminate this Pre-Bind Document for convenience upon providing days' prior written notice to the other party. Termination for material breach shall be effective upon written notice if the breaching party fails to cure within days after receipt of notice specifying the breach.

CONFIDENTIALITY

The parties acknowledge that in the course of performance each may receive Confidential Information of the other. "Confidential Information" means non-public information that is designated as confidential or which, by its nature, a reasonable person would understand to be confidential. Each party shall (i) hold Confidential Information in strict confidence, (ii) not disclose it to any third party except as expressly permitted herein, and (iii) use it solely for the purpose of performing obligations under this Pre-Bind Document.

The foregoing obligations shall survive termination for a period of years, except for trade secrets for which protection shall continue for as long as such information qualifies as a trade secret under applicable law.

GOVERNING LAW

This Pre-Bind Document shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles.

ENTIRE AGREEMENT

This Pre-Bind Document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
