What the Pre MOI Document Is and When it Matters

A Pre MOI Document is a preparatory summary and data-gathering checklist created before drafting a company's Memorandum of Incorporation (MOI) or comparable organizational charter. It consolidates party names, capital structure, governance preferences, statutory addresses, preliminary shareholder or member terms, and any pre-formation agreements. The Pre MOI Document streamlines drafting, reduces iteration with counsel, and ensures incorporation filings and signature-ready drafts reflect agreed commercial and compliance terms. It is not the filed charter itself and must be converted into legally binding Articles or an MOI for state filing and official company formation.

Why prepare a Pre MOI Document before formal incorporation

A concise Pre MOI Document clarifies founder intent, captures required corporate details, reduces legal review cycles, and helps avoid filing errors that can delay state registration or tax elections.

Why prepare a Pre MOI Document before formal incorporation

Who typically completes a Pre MOI Document

The Pre MOI Document is completed by founders, corporate counsel, and formation specialists to collect uniform information before drafting the charter.

  • Founders and co‑founders gathering ownership, voting, and capital contribution details prior to lawyer review.
  • Corporate attorneys and paralegals who convert gathered facts into statutory Articles or an MOI for state submission.
  • Registered agent services and formation providers who need standardized inputs to prepare and file incorporation documents.

Using a single structured draft reduces back-and-forth and improves accuracy for filings, tax registrations, and bank onboarding.

Stepwise process for completing and converting a Pre MOI Document

Follow a clear sequence from information gathering to execution to reduce errors and avoid filing delays.

  • 01
Collect Information: Gather IDs, addresses, capital details, and any prior agreements.
  • 02
Draft Core Terms: Translate gathered facts into clear governance and share structure language.
  • 03
Review with Counsel: Legal review ensures statutory compliance and identifies state-specific issues.
  • 04
Execute and File: Sign in authorized capacity and submit adapted Articles to the state Secretary of State.

  • Integrations: Connectors for CRM, accounting, or document repositories streamline intake.
  • File Formats: Accept PDF, DOCX, and exported PDF/A for long-term retention.
  • Security: TLS in transit and AES‑256 at rest are industry standards.

Where to send, file, or submit the completed Pre MOI Document

Route the finished Pre MOI Document to parties and filing destinations based on its role in formation.

  • Internal Review: Share with founders and counsel for comment and signoff.
  • Registered Agent: Provide final charter-ready material and execution instructions.
  • Secretary of State: Submit adapted Articles or MOI to the state filing office.
  • Banks and Tax Authorities: Use filed charter and EIN documentation for account opening and tax registration.

Typical timelines and processing expectations for Pre MOI preparation
