13. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable in any respect, such provision shall be severed and the remainder of the Agreement shall remain enforceable to the fullest extent permitted by law.

What a Pre-Negotiation Contract Agreement Is

A Pre-Negotiation Contract Agreement is a written framework that parties use to set terms, scope and process before formal contract drafting begins. It records key business points — such as negotiation objectives, timelines, confidentiality, and preliminary allocation of obligations — so parties share expectations and reduce later disputes. The document is often non-binding as to final terms but may include binding provisions (confidentiality, exclusive negotiation periods, or expense allocation) that guide subsequent negotiations and protect commercial interests.

Why use a Pre-Negotiation Contract Agreement

A clear pre-negotiation agreement reduces misunderstandings, preserves privileged information, and sets realistic timelines so negotiations proceed efficiently and with reduced legal risk.

Why use a Pre-Negotiation Contract Agreement

Who commonly completes this agreement

Usage varies by industry and deal size; for high-value transactions involve legal counsel early to convert key pre-negotiation clauses into binding protections where needed.

  • Corporate counsel preparing negotiation roadmaps and protecting privileged communications.
  • Procurement or sourcing teams aligning internal stakeholders on commercial priorities and timelines.
  • Business development or sales leads documenting exclusivity periods and initial commercial terms.

Key roles who sign or approve

General Counsel

Chief legal officers or senior in-house counsel typically review legal risk, approve confidentiality clauses, and determine whether parts of the pre-negotiation agreement should be binding.

Business Lead

Senior business or deal owners (VPs of Sales, Procurement heads) confirm commercial terms, timelines and approval paths so negotiation teams act within authorized limits.

Primary components to include

A professional Pre-Negotiation Contract Agreement clearly separates binding from non-binding provisions and contains essential administrative and commercial detail.

Parties

Full legal names and entity types for each party; include registered addresses and a contact for negotiation communications.

Purpose

A concise description of the intended transaction or business opportunity that frames the scope of negotiations and permitted disclosures.

Confidentiality

Specific non-disclosure language, permitted recipients, duration of confidentiality, and permitted uses of disclosed materials.

Exclusivity

If present, a clear exclusivity period with start/end dates and remedies for breach of exclusivity obligations.

Timeline

Deadlines for draft exchange, negotiation milestones, decision points, and any automatic termination events.

Binding Clauses

Identify which clauses are binding (e.g., confidentiality, cost allocation, exclusivity); state that remaining terms are non-binding preparatory statements.

Required information and quick facts

Common legal risks and consequences

Breach of Confidentiality: Potential injunctive relief
Misstated Authority: Voidable commitments
Ambiguous Terms: Dispute and negotiation delays
Unintended Binding: Courts may enforce vague promises
Failure to Preserve Records: Evidentiary disadvantage
Regulatory Exposure: Sector-specific penalties

Frequent drafting pitfalls to avoid

  • Leaving confidentiality duration undefined creates enforcement uncertainty and operational risk during later disclosures.
  • Using subjective timelines like 'promptly' or 'within a reasonable time' invites interpretation disputes and slows negotiations.
  • Failing to name a single negotiation contact leads to scheduling delays and uneven information flow among stakeholders.
  • Not stating which clauses are binding can convert preparatory statements into unintended obligations in some jurisdictions.

Real-world examples and outcomes

Here are two practical examples showing how organizations used pre-negotiation agreements to structure deals and protect information.

Martin Properties

A regional real estate firm documented exclusivity for a listing

  • exclusivity preserved negotiation leverage
  • The firm executed deals faster while avoiding competing bidder confusion, enabling coordinated due diligence without disclosing sensitive valuation models.

Fertility Centers of Illinois

A healthcare provider used a pre-negotiation framework to limit disclosures during vendor selection

  • confidentiality clause strictly defined recipients
  • This preserved patient-data protections and allowed legal teams to approve vendor discussions before contract drafting commenced.

Typical vendor pricing and feature overview

This comparison highlights starting prices and common feature availability; confirm vendor websites for plan-level details before purchasing.

Practical tips for accurate completion

Adopt consistent practices to reduce negotiation friction and to ensure enforceable, auditable records.

Use precise dates
Avoid relative phrasing. Enter MM/DD/YYYY for effective dates and deadlines so obligations and statute-of-limitations calculations are clear.
Define binding terms
Explicitly label confidentiality, exclusivity and cost-sharing as binding or non-binding to avoid unintended obligations.
Limit scope of disclosures
Restrict confidential information recipients and describe permitted uses to reduce inadvertent disclosure and regulatory exposure.
Preserve the audit trail
Keep exported signed PDFs and metadata (timestamps, IP, signer email) to support enforcement or later dispute resolution.
