What a Pre-Purchase Agreement Is and When It’s Used

A Pre-Purchase Agreement is a written contract that records agreed terms between a prospective buyer and seller ahead of closing on a purchase, commonly used in real estate transactions and some business asset sales. The document sets price, deposit (earnest money), contingencies (inspection, financing, title), key deadlines, and responsibilities while the parties work toward a final purchase instrument. It preserves the parties’ intent, allocates risk, and can create binding obligations if properly executed. Use clear parties, property description, monetary terms, timelines, and signatures to reduce later disputes.

Why a Pre-Purchase Agreement Matters

A Pre-Purchase Agreement records material deal terms, protects deposit placement, and creates enforceable expectations for inspections, financing, and closing. It reduces uncertainty, helps coordinate title and escrow steps, and documents remedies for default.

Why a Pre-Purchase Agreement Matters

Who Typically Uses a Pre-Purchase Agreement

Parties listed above use the agreement to lock core terms and manage the path to closing; attorneys may be engaged for complex or high-value deals.

  • Individual buyers and sellers negotiating residential or investment property transactions.
  • Real estate brokers, listing agents, and buyer’s agents coordinating contingencies and deposits.
  • Escrow officers, title companies, and lenders validating terms before funding or recording.

Typical Signatories and Their Roles

Buyer — Individual

A buyer signs to accept price, contingencies, and deposit terms. The buyer’s signature creates obligations to pursue financing and meet inspection deadlines; failure to meet stated conditions can result in deposit forfeiture or contract termination.

Seller — Broker/Owner

The seller or seller’s authorized broker signs to bind the seller to convey property under agreed conditions. The signature obligates the seller to cooperate with inspections, deliver marketable title, and close per the timeline.

Core Elements to Include in a Professional Pre-Purchase Agreement

A complete Pre-Purchase Agreement balances clarity and enforceability by listing parties, property, price, deposit terms, key contingencies, deadlines, and remedies for breach.

Parties Identified

Use full legal names and entity types for each party; include contact and mailing addresses to avoid identity or service disputes.

Property Description

Provide a precise legal description, street address, and parcel or tax ID if available to prevent ambiguity in what is being purchased.

Purchase Price

State the exact purchase price, allocation of closing costs, and any agreed credits or seller concessions to avoid later calculation disputes.

Earnest Money

Specify amount, how it will be held (escrow/title), conditions for refund or forfeiture, and timing for deposit delivery.

Contingencies

List inspection, appraisal, title, and financing contingencies with clear deadlines and the method to cure or terminate the agreement.

Closing and Remedies

State the target closing date, extension mechanics, default remedies, and whether liquidated damages apply or specific performance is available.

Step-by-Step: Completing a Pre-Purchase Agreement

Follow these sequential steps to prepare, review, and finalize the agreement before escrow or title actions begin.

  • 01
Draft Terms: List price, deposit, contingencies, and closing date in plain language.
  • 02
Verify Identity: Confirm legal names and authority for signing parties or corporate signatories.
  • 03
Attach Exhibits: Include inspection scopes, addenda, and property exhibits referenced by the agreement.
  • 04
Execute and Deliver: Obtain signatures, date the document, and deliver copies to escrow and all parties.

Where to File, Send, or Submit the Agreement

Pre-Purchase Agreements are generally retained by the parties and shared with escrow, title, lenders, and legal counsel; they are not usually recorded with county offices.

  • Buyer and Seller: Each party retains an executed copy for records and for escrow submission.
  • Escrow / Title: Submit the executed agreement to the escrow or title company handling closing and deposit custody.
  • Lender: Provide agreement to lender for underwriting and appraisal scheduling, if financing is involved.
  • Attorney or Broker: Share final executed copy with legal counsel and listing/buyers’ brokers for compliance and file retention.

How to Configure an Online Completion Workflow

Set up a digital workflow to collect signatures, route parties, and store signed copies securely.

Field Configuration
Signature Field Require sign, date fields for each party
Conditional Fields Show financing contingency fields if financing selected
Authentication Use email link or SMS code for signer verification
Storage Save executed PDF and audit trail to secure repository

Digital Signing: Technical and Integration Considerations

Ensure the chosen platform supports audit trails, tamper-evident signed PDFs, and any compliance addenda required by industry or state law.

  • File Types: PDF | DOCX | HTML
  • Integrations: Integrates with Title/CRM systems and cloud storage
  • Authentication: Email, SMS code, KBA, or advanced signer verification

Typical Deadlines and Timing to Track

A Pre-Purchase Agreement should list absolute dates and contingency durations so parties can meet or waive obligations on time.

Inspection Period:

Number of days after effective date for inspections and remedies

Financing Contingency:

Deadline to secure loan approval or terminate agreement

Earnest Money Deadline:

Date when deposit must be delivered to escrow

Closing Date:

Target date for transfer, funding, and recording of deed

Title Objection Cure:

Time allowed to resolve recorded title matters

Common Mistakes to Avoid When Preparing the Agreement

  • Using informal or incomplete party names that hinder enforcement or title review.
  • Failing to state exact deposit handling instructions and escrow holder details.
  • Omitting clear contingency deadlines or cure periods that create dispute over timing.
  • Neglecting to attach referenced exhibits, leading to ambiguity about included items.

Potential Consequences of an Incorrect or Incomplete Agreement

Deposit Forfeiture: Buyer may lose escrow deposit.
Contract Voidance: Ambiguity can allow rescission.
Delay Costs: Extended closings increase fees.
Title Issues: Unresolved defects can block closing.
Regulatory Exposure: Improper disclosures may trigger fines.
Tax Consequences: Reporting errors may cause penalties.

Practical Tips for Accurate and Efficient Completion

Adopt consistent formatting and verification steps to reduce disputes and speed closing.

Use Precise Language
Avoid ambiguous terms; specify exact dollar amounts, calendar dates, and defined terms to minimize litigation risk and ensure consistent interpretation across parties and advisors.
Confirm Authority
Verify signers’ authority for entities and trusts before execution to prevent challenges to enforceability or later claims of lack of authority.
Keep Exhibits Current
Attach current inspection reports, schedules, and title exceptions; reference exhibit dates and versions to avoid conflicts between documents.
Preserve Audit Trail
If signing electronically, maintain the platform’s audit trail showing timestamps, signer IPs, and authentication method to support enforceability.

Example Use Cases for Pre-Purchase Agreements

Real examples show how pre-purchase terms are applied across common transaction scenarios.
