What a Pre-Work Agreement Is and When It Applies

A Pre-Work Agreement is a short-form contract that defines the scope, responsibilities, compensation, and timing for preparatory or initial tasks performed before a primary services contract begins. It clarifies deliverables, testing or discovery activities, who pays for materials, and acceptance criteria so parties avoid later disputes. These agreements commonly cover confidentiality, limited licenses, insurance, and termination for convenience. Used by contractors, consultants, and clients, a clear Pre-Work Agreement reduces ambiguity about early-phase work and sets the contractual foundation for a full project contract if one follows.

Why Use a Pre-Work Agreement

A concise Pre-Work Agreement allocates risk, documents expectations, and provides payment terms for initial tasks, protecting both parties while preserving flexibility for the main contract.

Why Use a Pre-Work Agreement

Who Commonly Uses This Agreement and Why

Typical users range from small contractors and consultants to corporate project teams and procurement departments.

  • Independent contractors performing site inspections, prototypes, or discovery work before a larger contract is awarded.
  • Clients or procurement managers who need documented cost and timeline estimates for approval cycles.
  • Legal or compliance teams ensuring limited work complies with confidentiality and regulatory constraints.

The Pre-Work Agreement fits any situation where short, defined tasks must be authorized before a full contract is in place.

Representative Signers and Decision-Makers

Project Manager

The Project Manager signs for operational acceptance and confirms scope and timing for the pre-work; they may approve change orders and act as the interface for deliverable reviews and progress reports.

Client Representative

The Client Representative signs to authorize funds and confirm acceptance criteria; they typically have authority to approve invoices tied to the Pre-Work Agreement and to escalate disputes to procurement or legal teams.

Core Elements to Include in a Professional Pre-Work Agreement

A robust Pre-Work Agreement is concise but must document scope, fees, timelines, responsibilities, deliverable acceptance, and basic liability protections to avoid misunderstandings.

Scope

Define the exact tasks, locations, and exclusions so both parties share a single expectation of what pre-work includes and what will require a separate contract.

Deliverables

List concrete outputs, formats, delivery dates, and acceptance tests so reviewers know how to evaluate completion and release payment for pre-work.

Payment Terms

State fees, invoicing schedule, late-payment terms, and whether expenses or materials are reimbursable to avoid later billing disputes.

Timeline

Specify start and end dates, milestones, and approval periods so change orders and extensions are handled consistently.

Risk Allocation

Include liability limits, indemnities, insurance requirements, and confidentiality obligations appropriate to the work being performed.

Termination

Set termination rights, notice periods, and payment for work performed to ensure orderly wind-down if the parties part ways.

Step-by-Step: Completing the Pre-Work Agreement

Follow these steps in order to complete, sign, and distribute the Pre-Work Agreement with minimal rework.

Set Fees: Specify amounts, billing dates, and expense rules.
  • 03

Where to Send or File an Executed Pre-Work Agreement

Routing and filing instructions ensure signed copies are accessible to operations, finance, and legal teams.

  • Client Records: Store the fully executed agreement in the client's contract repository.
  • Project Folder: Upload to the project's document management system for team access.
  • Finance: Send an invoice copy and signed agreement to accounts payable.
  • Legal: Archive a copy with counsel for compliance and audit purposes.

Technical and Platform Considerations for eSigning

  • Supported Formats: PDF, DOCX, and fillable forms
  • Integrations: Connect to Google Workspace, Microsoft 365, or project systems
  • Authentication: Email, SMS code, or advanced options

Ensure the provider offers tamper-evident signed files, secure storage, and features like conditional fields and templates to reduce errors during repeated pre-work engagements.

Typical Timing and Deadlines to Track

Identify critical dates up front and communicate them to reduce delays and payment disputes.

Effective Date:

When the agreement begins; use MM/DD/YYYY format.

Pre-Work Start:

Date work is permitted to begin under the agreement.

Deliverable Review Period:

Number of days reviewers have to accept or request corrections.

Invoice Due Date:

When payment is due after invoice receipt.

Retention of Records:

Timeframe to archive the executed agreement for audits.

Key Milestones in a Pre-Work Engagement

Use a milestone flow to coordinate approvals, site access, and invoice timing before full contract execution.

01

Request Authorization

Client issues authorization request for pre-work approval.

02

Execute Agreement

Parties sign the Pre-Work Agreement; work authorization begins.

03

Perform Pre-Work

04

Acceptance and Billing

Common Mistakes to Avoid When Preparing the Agreement

  • Leaving scope vague and failing to list exclusions leads to disputes about out-of-scope tasks and unexpected billing.
  • Omitting acceptance criteria makes it difficult to determine whether deliverables meet client requirements and can delay payments.
  • Using informal language for payment terms or schedules increases the risk of late or partial payments.
  • Failing to confirm signer authority can render the agreement unenforceable or create internal disputes at the client organization.

Potential Risks and Consequences of an Incorrect Agreement

Payment Dispute: Delayed or withheld payment
Invalid Signature: Enforceability challenges
Tax Withholding: Backup withholding risk
Insurance Gap: Uncovered liability exposure
Work Delays: Schedule and cost overruns
Data Breach: Confidentiality and compliance risk

Real-World Examples of Pre-Work Agreement Use

The following condensed examples show how organizations use short agreements to start work while protecting both parties.

Martin Properties

Tim Martin, Founder, Martin Properties, used a brief pre-work contract to authorize property inspections and minor repairs.

  • The agreement limited scope to three tasks.
  • The signed document allowed the team to begin safely and bill promptly while preserving negotiation space for the main repair contract.

Fertility Centers

John Butler, Founder, Fertility Centers of Illinois, needed an audit and data-transfer test before a full services agreement.

  • The pre-work was narrowly scoped and time-boxed.
  • Executing a short agreement preserved HIPAA protections, defined deliverables, and let the organization proceed without delaying broader contract negotiations.
