Default, Remedies and Termination

If Buyer fails to timely perform, Developer may retain earnest money as liquidated damages and pursue any remedies at law or equity. If Developer materially defaults and fails to cure within the notice and cure periods set forth herein, Buyer may elect specific performance or termination and return of deposits. The parties agree that actual damages for certain construction delays or defects are difficult to ascertain and liquidated damages provisions, where applicable, shall be enforceable to the extent permitted by law.

Each party indemnifies, defends and holds the other harmless from claims arising from that party's negligence, breach of this Agreement or willful misconduct.
