PREFERRED RATE AGREEMENT

This Preferred Rate Agreement ("Agreement") is made effective as of by and between Client Name: and Provider Name: (each a "Party" and collectively the "Parties").

WHEREAS

WHEREAS, Client engages in the purchase of services and seeks to obtain preferential pricing for certain categories of work; and

WHEREAS, Provider offers professional services in the areas described below and is willing to extend a preferred rate to Client subject to the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

SCOPE OF WORK

Provider will make available to Client services and deliverables within the categories described below. Specific tasks and deliverables will be described in individual statements of work or purchase orders which reference this Agreement.

PREFERRED RATE AND PAYMENT TERMS

Provider shall provide the services described above to Client at the preferred rate set forth below. All invoices shall reference the applicable statement of work and shall be due in accordance with the invoice terms.

TERM AND TERMINATION

This Agreement commences on the Start Date set forth below and continues in effect until the End Date unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within the notice period specified in a written notice of breach. Termination shall not relieve either Party of payment obligations accrued prior to termination.

CONFIDENTIALITY

Each Party (the "Receiving Party") shall hold in confidence all non-public information, whether written or oral, disclosed by the other Party (the "Disclosing Party") that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that is: (a) publicly available through no fault of the Receiving Party; (b) already in the Receiving Party's possession without restriction; (c) rightfully obtained by the Receiving Party from a third party without breach of any obligation to the Disclosing Party; or (d) independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use Confidential Information solely for the purposes of performing under this Agreement and shall not disclose Confidential Information to any third party except to those employees, agents or permitted subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. The obligations of confidentiality shall survive termination of this Agreement for a period of unless a longer period is required by applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the substantive laws of the State of without regard to conflict of law principles. The Parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement by negotiation between executives. If the dispute is not resolved by negotiation within thirty (30) days, the Parties may pursue any remedy available at law or equity.

MISCELLANEOUS

Entire Agreement: This Agreement, together with any statements of work or purchase orders executed under it, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral.

Amendment: No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.

Assignment: Neither Party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other Party, except that a Party may assign this Agreement in connection with the sale of substantially all of its assets or a merger or change of control.

Authority to Bind: Each individual signing below represents and warrants that they are duly authorized to execute this Agreement on behalf of the Party for which they sign and to bind that Party to the terms and conditions of this Agreement.
