What a Preliminary Business Works Agreement Is

A Preliminary Business Works Agreement is a short-form contract used to describe the scope, responsibilities, and provisional terms for work to begin before a full services or construction contract is executed. It typically outlines deliverables, pricing estimates, timelines, payment milestones, allocation of risk, insurance and basic liability limits, and a termination clause. Parties use it to authorize initial mobilization, ordering of materials, or early-phase services while they negotiate or finalize a comprehensive agreement. When executed properly it creates enforceable interim obligations and clarifies expectations to reduce startup delays and disputes.

Why use a Preliminary Business Works Agreement

A Preliminary Business Works Agreement provides early legal clarity on scope, costs, and responsibilities, reducing delay and start-up risk. When signed electronically it is generally enforceable under the ESIGN Act (15 U.S.C. §7001) and UETA in adopting states.

Why use a Preliminary Business Works Agreement

Who typically prepares and signs this agreement

Common users include project managers, contractors, subcontractors, procurement officers, and facility managers who need temporary authorization to mobilize teams and materials.

  • General contractors: authorize site mobilization, early procurement, and short-term work under provisional terms.
  • Subcontractors: confirm scope, payment schedule, and insurance requirements before full contract execution.
  • Owners and developers: accept initial deliverables and control risk during preconstruction phases.

Use the agreement to set interim expectations, document early acceptance, and create a basis for final contract negotiations.

Core sections to include in the agreement

Core sections in a professional Preliminary Business Works Agreement that establish scope, responsibilities, risk allocation, and administrative mechanics for early work.

Scope of Work

Define deliverables, tasks, and measurable milestones, including exclusions and acceptance criteria. Be specific about phases and deliverables to avoid disputes and to determine when early payments or progress releases apply.

Pricing & Payments

State fixed fees, unit rates, estimated not-to-exceed amounts, deposit or mobilization payments, invoice intervals, and conditions for adjustments due to change orders or unforeseen site conditions.

Insurance & Liability

Specify required insurance coverage limits, indemnity obligations, and liability caps. Clarify which party bears risk for onsite damage, third-party claims, and claims during mobilization and delays.

Timeline & Milestones

Include start date, key interim milestones, projected completion for initial work, and notice periods for schedule changes. Tie milestone payments to specific, verifiable deliverables and approvals.

Termination Rights

Describe termination triggers, cure periods, settlement of outstanding payments, and obligations on closeout. Address possession of partially completed work and handling of contractor-supplied materials and warranties.

Signatures

Provide signature blocks for authorized representatives with printed name, title, company, and date. Indicate whether electronic signatures are permitted and any required authentication level for signers.

Technical considerations for eSigning and distribution

For electronic execution consider file formats, authentication methods, and integration with accounting or project systems.

  • File Formats: PDF or DOCX recommended
  • Integrations: Integrates with Salesforce, NetSuite, Google Workspace
  • Authentication: Email link, SMS code, or higher

Where to send and file the executed agreement

Typical routing and submission pathways for the signed Preliminary Business Works Agreement depend on project size and organizational process.

  • Owner Records: File executed copy in project contract file.
  • Contractor Files: Store signed agreement with procurement records.
  • Accounting: Attach to accounts payable for invoicing.
  • Site Office: Keep physical or digital copy onsite during initial work.

Common preparation errors to avoid

  • Vague scope descriptions that allow different interpretations of deliverables and acceptance, leading to disputes over whether early work met contractual standards.
  • Missing or inconsistent payment scheduling, such as no mobilization deposit or unclear milestone triggers, which delays cash flow and procurement of materials.
  • Failing to specify insurance limits, indemnity, or risk allocation; this exposes owners and contractors to unexpected liability during initial operations.
  • Using informal emails or unsigned estimates instead of a written, signed Preliminary Business Works Agreement creates ambiguity and complicates enforcement.

Effective Date: MM/DD/YYYY format; performance start date

Practical tips for accurate and enforceable agreements

Practical tips to reduce errors, accelerate approvals, and strengthen enforceability when preparing a Preliminary Business Works Agreement.

Use precise scope language
Avoid open-ended language; quantify deliverables, acceptance tests, and timelines. Define measurement methods for progress to ensure milestone payments release only when verifiable criteria are met, reducing payment disputes and subjective assessments.
Tie payments to verifiable deliverables
Link each payment milestone to a named deliverable, include invoice format and documentation requirements, and state remedies for late payment. Clear payment triggers reduce disputes and improve cash flow predictability for contractors and suppliers.
Require insurance certificates up front
Require current certificates of insurance and additional insured endorsements before any onsite work. Verify policy effective dates and limits against contract requirements to prevent coverage gaps that could cause denied claims.
Document and control change orders
Adopt a written change-order process with form, approval timeline, and pricing adjustment method. Make oral changes non-binding until documented and signed to avoid scope creep and unapproved cost exposure.

Two real-world examples of early-work agreements

Representative scenarios showing how Preliminary Business Works Agreements are used to enable early work while protecting parties.

Construction Mobilization

A general contractor needed to mobilize crews and order long-lead materials before the final owner contract was executed.

  • The owner approved initial scope and a mobilization deposit.
  • The Preliminary Business Works Agreement defined deliverables, insurance, payment schedule, and termination rights. Because terms were explicit, mobilization occurred on time, invoices were processed promptly, and subsequent contract negotiations focused on long-term commercial terms rather than startup disputes.

IT Implementation Pilot

A software vendor began a pilot integration to validate interfaces pending negotiation of a full services agreement.

  • The client authorized a limited-scope engagement with predefined success criteria.
  • Using a short Preliminary Business Works Agreement the parties set milestones, acceptance tests, and a capped not-to-exceed budget. The clear interim terms prevented scope creep, protected both sides, and accelerated the formal contract award after successful pilot completion.
