PREMARITAL AGREEMENT

This Premarital Agreement ("Agreement") is made and entered into as of by and between Party A: and Party B: , who intend to marry on .

RECITALS

WHEREAS, each party owns certain assets and liabilities and desires to define and confirm the status, management, control and division of such assets and liabilities in the event of divorce, dissolution, or death; and

WHEREAS, each party recognizes the desirability of making a full and accurate disclosure of financial information to the other and represents that the disclosures provided to the other party are, to the best of each party's knowledge, true and complete; and

WHEREAS, the parties intend that this Agreement will govern the rights of each party with respect to property, debts, support, and other matters during the marriage, upon separation, dissolution, or death.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Separate Property" means all property, whether real or personal, tangible or intangible, owned by a party prior to the marriage or acquired by a party by gift, devise or inheritance during the marriage, and any increase, appreciation, accessions, or proceeds of such property, provided that such property is maintained separately and is not transmuted into marital property by written agreement or by clear acts evidencing an intent to transmute.

"Marital Property" means property acquired by either or both parties during the marriage that is not Separate Property as defined above.

2. FINANCIAL DISCLOSURE

Each party acknowledges receipt of the other's written schedule of assets and liabilities as of the date of this Agreement. Each party warrants that, to the best of that party's knowledge, such disclosure is true, correct and complete.

3. SEPARATE PROPERTY

Except as otherwise expressly provided in this Agreement, all Separate Property owned by each party, whether acquired before or during the marriage, shall remain the separate property of that party. Each party shall have the sole right to manage, control, transfer and encumber his or her Separate Property.

4. MARITAL PROPERTY

Property acquired by the parties jointly or either party during the marriage shall be presumed to be Marital Property unless it is traceable to Separate Property or otherwise designated in writing as Separate Property. Contributions by one party to the preservation, appreciation or improvement of Separate Property shall not, by itself, transmute such Separate Property into Marital Property, but may give rise to equitable claims for reimbursement.

5. DEBTS AND LIABILITIES

Except as otherwise provided herein, each party shall be solely responsible for debts incurred in his or her own name prior to the marriage, and each party shall indemnify and hold the other harmless from any such Separate Property debts. Debts incurred jointly during the marriage shall be the joint responsibility of the parties unless otherwise agreed in writing.

6. SPOUSAL SUPPORT / MAINTENANCE

The parties agree as follows regarding spousal support and maintenance:

7. ESTATE AND INHERITANCE RIGHTS

Except as provided in a will or other testamentary instrument executed after the Effective Date, this Agreement governs the parties' rights in the event of death. Nothing in this Agreement shall be construed as revoking or limiting any testamentary disposition made in a valid will, except to the extent that a party expressly agrees in writing to alter such disposition.

8. TAXES

The parties shall cooperate in good faith to prepare and file federal, state and local tax returns. Each party shall be responsible for the tax consequences attributable to that party's Separate Property. Any tax liability arising from joint filings or transactions designated as marital shall be allocated as agreed by the parties or as determined by applicable law.

9. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) he or she is of legal age to enter into this Agreement and is acting voluntarily; (b) the execution and delivery of this Agreement has been done with full understanding of the provisions and legal effect; and (c) there are no pending actions or proceedings that would prevent a full performance of the obligations under this Agreement.

10. ENFORCEMENT AND REMEDIES

11. NOTICES

All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses provided below, or at such other address as may be designated by written notice.

12. AMENDMENTS AND WAIVER

This Agreement may be amended or revoked only by a written instrument signed by both parties. No waiver of any provision or breach shall be effective unless in writing and signed by the party waiving rights.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements between the parties, whether written or oral.

15. SEVERABILITY

If any provision of this Agreement is determined to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

16. COUNTERPARTS AND EXECUTION

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be binding.

The parties acknowledge that they have read and understand this Agreement, that they have had the opportunity to seek independent legal advice, and that they enter into this Agreement voluntarily and without duress.
