PREPAID SERVICE AGREEMENT

This Prepaid Service Agreement (the Agreement) is entered into as of Effective Date: by and between Provider Name: (Provider), and Client Name: (Client). Provider and Client are each a Party and together the Parties.

RECITALS

WHEREAS, Provider is engaged in the business of providing professional services in the field described below and maintains the personnel, facilities and expertise necessary to render such services to Client; and

WHEREAS, Client desires to prepay Provider for a specified amount of services to be rendered from time to time in accordance with the terms and allocations set forth in this Agreement; and

WHEREAS, the Parties intend that prepaid funds be applied against Provider's fees and expenses in the order and manner specified in this Agreement and that the Parties' mutual rights and obligations be governed by the terms below.

SCOPE OF SERVICES

Provider shall provide services as described below and in any Statements of Work or task orders executed pursuant to this Agreement. All services shall be provided in a professional and workmanlike manner consistent with industry standards.

PAYMENT

Client shall prepay Provider the sum indicated below (Prepaid Amount). Prepaid funds shall be held by Provider and applied to invoices as services are performed. Provider's billing shall reduce the prepaid balance in accordance with the billing rates or fixed fees set forth in this Agreement or an applicable Statement of Work.

If Client fails to timely replenish the prepaid balance when requested by Provider, or fails to timely pay additional invoiced amounts, interest shall accrue on overdue amounts at a rate of (or the maximum permitted by law), and Provider may suspend services until the balance is replenished.

Unless otherwise agreed in writing, unused prepaid funds shall expire and become non-refundable after days from the date of receipt by Provider. Provider shall provide a written notice to Client at least 30 days prior to expiration.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either Party may terminate this Agreement for material breach that remains uncured for the notice period above. Termination shall not relieve Client of obligations to pay for services rendered and prepaid funds properly applied. Upon termination, Provider will provide a final accounting of prepaid funds applied and, subject to the refund provisions below, will refund any remaining balance in accordance with this Agreement.

CONFIDENTIALITY

Each Party shall maintain in confidence all Confidential Information disclosed by the other Party, and shall not use or disclose such information except as necessary to perform under this Agreement or as required by law. "Confidential Information" means non-public information marked or reasonably understood to be confidential, but excludes information that is publicly available or independently developed without use of the disclosing Party's Confidential Information.

The receiving Party will use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information of like importance, but in no event less than reasonable care. Upon termination or request, the receiving Party shall return or certify destruction of Confidential Information, except that Provider may retain one archival copy for compliance and recordkeeping.

LIMITATION OF LIABILITY; INSURANCE

Except for willful misconduct or gross negligence, neither Party shall be liable to the other for indirect, incidental, consequential, punitive or special damages. Provider's aggregate liability for any claim arising under this Agreement shall not exceed the total prepaid amounts actually received from Client in the twelve (12) months preceding the claim. Provider shall maintain insurance appropriate to the services provided and upon reasonable request will provide evidence of such insurance.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by binding arbitration in accordance with the rules selected by the Parties, with judgment on the award entered in any court of competent jurisdiction.

MISCELLANEOUS

This Agreement, together with any executed Statements of Work, schedules, or attachments, constitutes the entire agreement of the Parties with respect to the subject matter and supersedes all prior negotiations and understandings. Any amendment must be in writing and signed by authorized representatives of both Parties. Neither Party may assign this Agreement without the prior written consent of the other Party, except to an affiliate or in connection with a sale of substantially all assets.

REPRESENTATIONS

Each Party represents and warrants that (a) it has full power and authority to enter into this Agreement, (b) the person signing on its behalf is authorized to do so, and (c) the execution and performance of this Agreement will not violate any other agreement or applicable law.
