PRESCRIPTION (RX) ORDER AND SERVICE AGREEMENT

Parties and Recitals

This Prescription (RX) Order and Service Agreement (the Agreement) is entered into by and between Prescriber Name: and Pharmacy Name: (collectively, the Parties).

WHEREAS, Prescriber is authorized to issue valid prescriptions for medications to patients for legitimate medical purposes and desires to engage Pharmacy to process, dispense and manage filling of such prescriptions in accordance with applicable law and professional standards; and

WHEREAS, Pharmacy maintains dispensing, record-keeping and patient counseling systems and agrees to fill prescriptions issued by Prescriber consistent with the Scope of Work and the terms set forth herein.

Scope of Work

Pharmacy shall receive, process, dispense and deliver (or make available for pickup) prescriptions issued by Prescriber and shall perform related services including but not limited to counseling, verification of allergies and interactions, record maintenance, and documentation required by law. Pharmacy shall maintain accurate dispensing records and make them available to Prescriber upon reasonable request.

Payment Terms

The Parties agree that compensation for services rendered under this Agreement shall be as set forth below. Pharmacy may bill patient or third-party payor where applicable; Prescriber shall not withhold lawful billing information required for payment.

Term and Termination

Confidentiality and Privacy

The Parties shall maintain the confidentiality of patient records, prescriptions and related clinical information. Each Party agrees to implement reasonable administrative, technical and physical safeguards to protect protected health information and shall comply with applicable privacy and security laws governing patient records. Disclosure of patient information is permitted only as required for treatment, payment, operations or as otherwise permitted or required by law.

Indemnification and Liability

Each Party shall indemnify and hold harmless the other from and against claims arising from its own negligent acts, omissions or willful misconduct in connection with this Agreement. Pharmacy shall exercise professional judgment and may refuse to fill or shall modify a prescription where it reasonably determines the prescription may be inappropriate, dangerous, or otherwise contraindicated.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both Parties.

Acknowledgements

The Parties acknowledge that Prescriber retains ultimate clinical responsibility for the issuance of prescriptions and that Pharmacy retains professional responsibility for dispensing decisions. Nothing in this Agreement transfers or delegates prescriber's clinical authority.
