What a Presentation Services Agreement Covers

A Presentation Services Agreement is a written contract that sets the terms for delivering a live or recorded presentation, workshop, or speaker engagement between a presenter and a client. It defines scope of services, deliverables, delivery date, fees, payment schedule, cancellation and rescheduling rules, intellectual property and usage rights, confidentiality obligations, and liability limits. The agreement also addresses travel and lodging reimbursement, rehearsal requirements, technical specifications, and approval of presentation materials. Clear terms reduce misunderstandings and form the basis for invoicing, dispute resolution, and enforcement if performance or payment issues arise.

Why Document the Engagement in Writing

Use a Presentation Services Agreement to document deliverables, set payment and cancellation terms, and assign intellectual property rights. It minimizes ambiguity about expectations, provides contractual remedies for breaches, and supports timely invoicing and enforcement where necessary under ESIGN and state contract law.

Why Document the Engagement in Writing

Who Typically Uses a Presentation Services Agreement

Typical parties who use a Presentation Services Agreement include professional speakers, corporate trainers, and organizations hiring external presenters.

  • Event producers and conferences contracting keynote and breakout session presenters.
  • Marketing and HR teams engaging trainers for employee development programs.
  • Agencies and associations hiring subject-matter experts for paid speaking engagements.

Including these stakeholders in the agreement prevents downstream disputes and clarifies payment and usage rights.

Core Clauses to Include in the Agreement

Core clauses define scope, compensation, IP ownership, confidentiality, delivery logistics, cancellation fees, and dispute resolution to govern the presenter-client relationship.

Scope of Services

Describe the presentation format, length, number of sessions, deliverables such as slides or recordings, rehearsal time, and any post-event follow-up obligations the presenter must provide.

Compensation

State total fee, deposit amount and due date, payment milestones, acceptable payment methods, reimbursement of expenses, and consequences for late payment including interest or suspension of services.

Ownership & License

Specify whether presenter retains copyright, license terms granted to client (exclusive or nonexclusive), permitted uses, duration of license, and conditions for reuse, distribution, or third-party sublicensing.

Confidentiality

Define confidential materials, obligations to protect trade secrets or unpublished materials, permitted exceptions, the duration of confidentiality, permitted disclosures, and remedies including injunctive relief and monetary damages for unauthorized disclosure.

Cancellation & Reschedule

Set notice periods for cancellation, fees or forfeiture of deposits, rescheduling windows, fees for last-minute changes, and whether force majeure excuses performance without penalty or liquidated damages.

Indemnity & Limits

Include mutual indemnities for third-party claims, limits on liability such as caps tied to fees, exclusions for consequential damages, and insurance requirements with proof of coverage when appropriate.

Major milestones from booking to post-event close the contract lifecycle and set expectations for performance and payment.

Deposit received and date locked; contract countersigned.

02

Common Preparation Mistakes to Avoid

  • Vague scope descriptions that omit session length, deliverables, or number of attendees lead to disputes over expectations and additional billing.
  • Failing to specify payment milestones or acceptable payment methods causes delayed invoices and increased collection risk for presenters.
  • Not defining intellectual property ownership or reuse rights results in disagreements when clients repurpose materials for marketing or future events.
  • Overly broad indemnity clauses without caps expose presenters to unlimited liability and can make insurance procurement difficult or expensive.
