Agreement Recitals

This Presentation Tracking Template and related business engagement (the "Agreement") is entered into by and between Presenter / Service Provider: and Client / Recipient: .

WHEREAS, Presenter maintains materials, processes and personnel for developing and delivering commercial presentations and demonstrations to potential clients; and

WHEREAS, Client desires to record, monitor and manage presentations, follow-up activities and engagement status for prospective opportunities pursuant to the terms set forth below.

Scope of Work

Presenter shall prepare and maintain contemporaneous records of each presentation event, including attendee lists, materials presented, feedback, estimated opportunity value and next-step actions. Records shall be maintained in a form substantially consistent with the fields contained in this Template.

Presentation Entries

Use the fields below to track discrete presentation events. Duplicate this entry block as needed for each presentation.

For each additional presentation, duplicate the fields above and increment the numeric suffix (e.g., presentation_date_2, presentation_title_2). Retain presentation records for a minimum of two years or as otherwise required by applicable law.

Payment Terms

Client agrees to compensate Presenter for presentation development and delivery as follows. Fees relate solely to services described in the Scope of Work and do not include third-party expenses unless specifically authorized in writing.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Termination for cause shall be permitted where a material breach remains uncured for a period of thirty (30) days following written notice describing the breach.

Confidentiality

Each party acknowledges that during the course of performance it may receive Confidential Information from the other party. "Confidential Information" means non-public business, technical or financial information disclosed in writing or orally that is designated as confidential or that, by its nature, should reasonably be understood to be confidential.

Recipient shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care, and (c) not disclose Confidential Information to any third party except to employees, affiliates or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein. Confidentiality obligations survive termination for a period of three (3) years, except that trade secrets shall remain confidential for as long as permitted by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the substantive laws of the State of without regard to principles of conflicts of law. Venue for any dispute arising under this Agreement shall be the state or federal courts located in the county in which the chosen governing state’s principal courts are located.

Entire Agreement

This Agreement, together with any exhibits and the records created in accordance with the Scope of Work and Presentation Entries sections, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Record Retention and Audit

Presenter shall retain presentation records described in this Template for a minimum of two (2) years from the date of delivery. Upon reasonable written request, Presenter shall permit Client to audit records relating to Client-specific presentations during regular business hours, provided that such audits are conducted no more than once per calendar year and Client bears the reasonable costs of the audit unless material noncompliance is discovered.
