PRESENTER SERVICE CONTRACT

RECITALS

WHEREAS, Client engages Presenter to perform presentation services described herein, and Presenter represents that Presenter has the requisite qualifications, experience, and personnel to perform such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Presenter will deliver the services and Client will compensate Presenter;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

SCOPE OF SERVICES

Presenter shall provide the following services (the "Services") in a professional manner consistent with industry standards. The Services shall include preparation, rehearsal, delivery of presentation, and reasonable coordination with Client staff.

PAYMENT TERMS

Client shall pay Presenter the fees set forth below in exchange for the Services. All fees are exclusive of applicable taxes unless otherwise stated. Presenter shall submit an invoice in accordance with the schedule below.

Late payments shall incur interest at the rate specified below, calculated daily from the payment due date until paid in full. Presenter may suspend performance if undisputed past-due amounts remain outstanding for more than the notice period in the Termination section.

TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until completion of the Services unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure within the notice period. Termination shall not relieve Client of the obligation to pay for Services performed and reasonable cancellation costs incurred prior to termination.

CONFIDENTIALITY

Each party acknowledges that in connection with the Services it may receive confidential or proprietary information of the other party. "Confidential Information" includes nonpublic business information, trade secrets, technical data, audience lists, and materials prepared for or delivered at the presentation.

Each party agrees to (a) hold Confidential Information in strict confidence, (b) not disclose it to third parties except to employees, agents, or contractors who need access to perform the services and who are bound by confidentiality obligations, and (c) use the Confidential Information only for performance under this Agreement. Confidential Information does not include information that is or becomes generally known to the public other than by breach of this Agreement.

INTELLECTUAL PROPERTY

Presenter retains ownership of materials, slides, and content created by Presenter prior to or independently of this Agreement. Client is granted a limited, nonexclusive license to use presentation materials for internal, noncommercial purposes only, unless otherwise agreed in writing. Any custom deliverables created for Client shall be owned as provided in the specific written agreement between the parties.

INDEMNIFICATION

Each party shall indemnify, defend, and hold harmless the other party from and against claims, liabilities, losses, costs, and expenses arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement. The indemnifying party shall have the right to control the defense and settlement of any claim, provided that the indemnified party may participate at its own expense.

FORCE MAJEURE

Neither party shall be liable for delays or failures in performance caused by events outside its reasonable control, including acts of God, government actions, strikes, pandemics, or severe weather, provided that the affected party gives prompt written notice and uses reasonable efforts to mitigate the effect of the event.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Independent Contractor: Presenter performs the Services as an independent contractor and not as an employee. Presenter is responsible for all taxes and withholdings in connection with fees paid under this Agreement.
