PRESENTER SERVICES AGREEMENT

This Presenter Services Agreement ("Agreement") is entered into as of by and between Presenter Name: , Entity Type: , Address: (hereinafter "Presenter"), and Producer Name: , Entity Type: , Address: (hereinafter "Producer"). Both Presenter and Producer are each a "Party" and together the "Parties."

Recitals

WHEREAS, Producer engages presenters, speakers, and talent to perform and deliver presentations, workshops, and related services at events, recordings, or other productions;

WHEREAS, Presenter has represented that Presenter possesses the skill, experience, qualifications, and rights necessary to render the services described in this Agreement; and

WHEREAS, Producer desires to engage Presenter to provide certain presentation services and Presenter is willing to render such services on the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Engagement; Services

1.1 Engagement. Producer hereby engages Presenter, and Presenter accepts such engagement, to perform the services described in Section 1.2 during the Term set forth in Section 2. The Presenter shall perform the Services as an independent contractor and not as an employee of Producer.

2. Term; Schedule

2.1 Term. The term of this Agreement shall commence on the effective date set forth above and shall continue until completion of the Services or earlier termination in accordance with Section 12. The specific service date(s) are: .

3. Compensation; Expenses

4. Independent Contractor; Taxes

Presenter is engaged as an independent contractor. Presenter is solely responsible for all federal, state, and local taxes and any other withholdings relating to fees paid hereunder. Presenter shall not be eligible for any employee benefits from Producer.

5. Intellectual Property; Recordings

5.1 Ownership. Unless otherwise agreed in writing, Presenter retains ownership of Presenter’s pre-existing materials and intellectual property. Presenter hereby grants Producer a non-exclusive, worldwide, royalty-free license to record, reproduce, distribute, display, and create derivative works of Presenter’s performance and any materials delivered under this Agreement solely for the purposes specified in this Agreement.

During the Term and for a period of two (2) years thereafter, each Party shall hold in confidence and not disclose Confidential Information of the other Party. "Confidential Information" means non-public business, technical, financial, and other information disclosed in connection with this Agreement except information that (a) is or becomes generally available to the public through no breach of this Agreement, (b) was rightfully known prior to disclosure, or (c) is independently developed without use of the other Party’s Confidential Information.

7. Warranties; Representations

Presenter represents and warrants that Presenter has the full right, power, and authority to enter into this Agreement, that the Services and materials provided will not infringe the intellectual property rights of any third party, and that Presenter will perform the Services in a professional manner in accordance with industry standards.

8. Indemnification; Limitation of Liability

Presenter shall indemnify, defend and hold harmless Producer and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) Presenter’s breach of any representation, warranty, or obligation under this Agreement, or (b) any claim that Presenter’s materials infringe third-party rights. Producer’s liability under this Agreement shall be limited to direct damages and shall not exceed the total compensation paid to Presenter under this Agreement in the twelve (12) months preceding the claim; in no event shall either Party be liable for consequential or punitive damages.

9. Insurance

If applicable, Presenter shall maintain commercial general liability insurance in amounts satisfactory to Producer. Minimum required coverage: . Presenter shall provide certificates of insurance upon Producer’s request.

10. Cancellation; Termination

Either Party may terminate this Agreement for material breach if such breach is not cured within days after written notice. 12. Amendments; Waiver; Counterparts

This Agreement may be amended only by a written instrument signed by both Parties. No failure or delay by either Party in exercising any right under this Agreement shall constitute a waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

13. Governing Law; Entire Agreement; Severability

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Miscellaneous

14.1 Assignment. Neither Party may assign this Agreement without the prior written consent of the other Party, except that Producer may assign to an affiliate or successor in connection with a sale of substantially all of its assets. 14.2 Remedies. The Parties acknowledge that monetary damages may be inadequate to remedy certain breaches and that equitable relief, including injunctive relief, may be appropriate.
