What a Preservation Hold Document Is and When It’s Used

A Preservation Hold Document is a formal written notice directing custodians to preserve potentially relevant records, data, and devices when litigation, regulatory inquiry, or an internal investigation is reasonably anticipated. It defines the scope of preserved materials, identifies custodians and data sources, and instructs recipients not to delete, alter, or destroy specified information. The document creates an audit trail linking the hold directive to the event that triggered it and to subsequent communications, which helps organizations demonstrate reasonable preservation efforts in court or to regulators.

Why a Preservation Hold Document Matters

A clear Preservation Hold Document reduces the risk of spoliation sanctions, preserves evidence for fact-finding, and documents an organization’s good-faith preservation efforts under civil procedure and regulatory expectations.

Why a Preservation Hold Document Matters

Who Typically Prepares and Receives a Preservation Hold Document

Legal, compliance, and records teams usually prepare holds; IT and custodians receive and act on them.

  • In-house counsel and outside litigation teams ensuring legal preservation and requirements are met.
  • IT administrators and records managers who suspend routine deletion or auto-archive processes for specified systems.
  • Named custodians (employees, contractors, or third-party providers) who possess relevant documents or device access.

Coordination among legal, IT, and business units is essential to implement the hold promptly and to maintain defensible preservation documentation.

Key Roles Who Sign or Authorize Holds

Litigation Counsel

Internal or external attorneys who assess legal risk, draft the hold, and certify reasonable preservation steps in case filings or meet-and-confer sessions.

Records Manager

Records/IT leaders who map data sources, implement holds in technical systems, and maintain change logs and custodial acknowledgments for audit purposes.

Essential Elements to Include in a Professional Hold Notice

A comprehensive Preservation Hold Document clearly states scope, custodians, custodial actions, retention instructions, contact points, and follow-up procedures to create a defensible preservation record.

Custodian Identification

List individual names, titles, and business contact details for each person required to preserve materials.

Scope of Materials

Specify systems, file types, date ranges, keywords, mailboxes, mobile devices, and third-party storage included in the hold.

Preservation Instructions

Describe concrete actions: suspend automated deletion, disable retention policy purges, retain backups and snapshots, and preserve metadata.

Retention Period

State an initial preservation timeframe and criteria for release or continued preservation pending legal events.

Contact and Escalation

Provide legal and IT contact names, escalation steps, and instructions for questions or confusion about the hold.

Acknowledgment & Audit Trail

Require written acknowledgments and retain logs showing issuance, reminders, custodian responses, and document access history.

Required Fields and Short Data Checklist

Custodian Name: Full legal name
Custodian Role: Job title
Contact Info: Work email and phone
Scope Summary: Systems and date range
Issue Date: MM/DD/YYYY
Authorizing Signer: Name and title

Step-by-Step: Issuing a Preservation Hold Document

Follow a structured process to issue, confirm, and document the preservation hold for defensibility and operational clarity.

  • 01
Assess Trigger: Determine if litigation or investigation is reasonably anticipated.
  • 02
Identify Custodians: Map people, devices, and repositories likely to hold relevant data.
  • 03
Draft Notice: Clearly state scope, actions, contacts, and retention period.
  • 04
Send & Record: Distribute the hold, collect acknowledgments, and preserve the audit trail.

Configuring Online Workflows for Preservation Holds

Set up a repeatable digital workflow to issue notices, collect acknowledgments, and log activity across legal and IT systems.

Field Configuration
Preservation Scope Field Populate with mapped systems and file types
Custodian Selector Integrate HR list for accurate recipient selection
Acknowledgment Requirement Make acknowledgment mandatory before closing the task
Audit Logging Enable timestamps, IP, and change history

Typical Flow from Draft to Enforcement

A consistent flow reduces mistakes: draft, notify, preserve, monitor, escalate and release when appropriate.

  • Draft: Legal prepares the hold notice
  • Notify: Deliver electronically with acknowledgment
  • Preserve: IT suspends deletions and preserves backups
  • Monitor: Track acknowledgments and follow up

Digital Tools and Format Considerations

Choose a platform that supports secure delivery, audit trails, and common document formats for long-term retention.

  • Supported Formats: PDF, DOCX, and archive-friendly exports
  • Integrations Available: Salesforce, Microsoft 365, Google Workspace
  • Security Features: TLS in transit and AES-256 at rest

Ensure the selected solution records signer attribution, timestamps, and preserves a tamper-evident copy of issued holds for audits.

Timing Expectations and Critical Deadlines

Timely issuance and follow-up reduce the risk of evidence loss and regulatory or court sanctions.

Issue Upon Anticipation:

Send the hold as soon as litigation or investigation is reasonably anticipated.

Acknowledgment Deadline:

Request custodian acknowledgment within 5–10 business days to confirm receipt.

Periodic Reminders:

Send reminders every 30–90 days until release or litigation closure.

Review Schedule:

Conduct quarterly scope reviews for large matters to capture new custodians.

Release Criteria:

Document authority and date when hold is lifted or modified.

Common Legal Risks and Consequences of Poor Preservation

Spoliation Sanctions: Court-ordered penalties and evidentiary consequences
Adverse Inference: Jury may infer destroyed evidence was unfavorable
Monetary Fines: Judicial fines or cost-shifting orders
Regulatory Penalties: Fines or enforcement in government investigations
Reputational Harm: Damage to credibility and business relationships
Case Dismissal Risk: Severe sanctions may include dismissal or default

Frequent Preparation Errors to Avoid

  • Vague scope descriptions that fail to identify specific systems, file types, or date ranges, causing inconsistent preservation efforts.
  • Relying solely on custodial self-preservation without technical holds, which leaves automated retention policies still deleting data.
  • Missing acknowledgments and incomplete audit trails that make it hard to prove the hold was issued and received.
  • Failing to map third-party services or personal devices that may contain responsive records, increasing spoliation risk.

Real-World Scenarios Where Preservation Holds Apply

These example scenarios illustrate common triggers and operational approaches for issuing a Preservation Hold Document.

Corporate Litigation Scenario

A legal team identifies potential claims after a vendor dispute.

  • IT maps custodian mailboxes and project servers.
  • The hold preserves emails, contracts, and logs; acknowledgments and audit logs demonstrate good-faith preservation during meet-and-confer discussions.

Regulatory Inquiry Scenario

A regulator issues an inquiry notice about data practices.

  • Compliance suspends routine deletions and exports relevant data snapshots.
  • A documented hold with escalation contacts and quarterly reviews supports the organization’s regulatory response and record production.

Best Practices for Accurate and Efficient Preservation Holds

Adopt consistent policies and digital tools to increase defensibility and reduce administrative friction.

Use Clear, Narrow Scope Language
Define systems, date ranges, and file types specifically to avoid overbroad instructions that are difficult to operationalize and to reduce unnecessary burden on custodians.
Automate Distribution and Reminders
Leverage automated delivery, mandatory acknowledgments, and scheduled reminders to track compliance and maintain a complete audit trail without micromanaging custodians.
Coordinate Legal and IT Teams
Establish written procedures for IT to suspend deletions, snapshot systems, and collect forensic images if necessary, with documented approvals and chain-of-custody records.
Document Release and Modification
Record authorized modifications or releases with signatory authority, effective dates, and preserved copies of release communications for future inquiry.
