PRESS RELEASE TEMPLATE & SERVICES AGREEMENT

WHEREAS

WHEREAS, Client desires to engage Service Provider to prepare, refine, and distribute one or more press releases and related materials in accordance with the terms set forth in this Agreement; and

WHEREAS, Service Provider has represented that it has the expertise, personnel, and resources necessary to prepare and distribute press release materials and to provide media-relations services as described herein; and

WHEREAS, the parties wish to set forth the scope, payment terms, confidentiality obligations, and other terms governing the parties' relationship.

SCOPE OF WORK

Deliverables shall include drafting of press release copy, one round of revisions, preparation of boilerplate, and coordination of distribution to agreed media channels. Any additional services beyond the stated deliverables will require a written amendment and additional fees as set forth in Payment Terms below.

PAYMENT TERMS

Unless otherwise specified in the payment schedule, Client shall pay a non-refundable deposit of upon execution of this Agreement, with the balance due upon delivery of final approved press materials.

Any payment not received within days of invoice shall accrue interest at % per month or the maximum permitted by law, whichever is less.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and, unless earlier terminated in accordance with this section, shall expire on End Date: .

Either party may terminate this Agreement without cause upon written notice to the other party no less than days prior to termination. Termination for cause is permitted where a party materially breaches this Agreement and fails to cure such breach within 15 days after receiving written notice.

CONFIDENTIALITY

Each party acknowledges that during the course of performance it may obtain confidential information of the other party. "Confidential Information" includes non-public business, marketing, financial, technical, and strategic information and any draft press materials designated as confidential. Each party shall (a) hold confidential information in strict confidence, (b) not disclose such information to any third party except as required for performance of this Agreement, and (c) use the confidential information solely to perform its obligations herein. These obligations shall survive termination of this Agreement for a period of two (2) years.

Notwithstanding the foregoing, Client acknowledges that press releases are intended for public distribution. Client must clearly designate any portion of draft materials that it asserts is Confidential Information; materials not so designated may be treated as non-confidential for distribution purposes. Service Provider will not disclose Client's proprietary trade secrets or personally identifiable information except as required by law.

INTELLECTUAL PROPERTY & LICENSES

Client represents and warrants that it owns or has secured all rights, clearances, and licenses necessary for Service Provider to use Client trademarks, logos, photographs, and content included in any press release. Upon full payment of fees due, Service Provider grants Client a perpetual, non-exclusive license to use final press materials for Client's business purposes. Service Provider retains the right to display non-confidential samples of work in its portfolio unless Client provides written objection.

INDEMNIFICATION

Client shall indemnify, defend, and hold harmless Service Provider from and against any third-party claims arising out of the content provided by Client, including claims of defamation, infringement, or misappropriation, except to the extent such claims arise solely from Service Provider's breach of this Agreement or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Exclusive venue for any dispute arising under this Agreement shall be the state or federal courts located in that jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any attached exhibits and written amendments signed by both parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether oral or written. Any modification must be in writing and signed by both parties.
