Pressure Washing Service Agreement

This Pressure Washing Service Agreement ("Agreement") is entered into as of Date: between Client Name: of Client Address: and Service Provider Name: of Service Provider Address: .

RECITALS

WHEREAS, Client desires to obtain professional exterior pressure washing services for the property identified by Client at the address set forth above; and

WHEREAS, Service Provider represents that it is duly qualified, licensed, and experienced to perform pressure washing services and possesses the necessary equipment, personnel, and insurance to perform the work in a professional manner; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

SCOPE OF WORK

Service Provider shall furnish all labor, equipment, materials (except as expressly noted), supervision, and permits necessary to perform the work described above. The work will be performed in a commercially reasonable manner in accordance with industry standards. Client acknowledges areas to be cleaned may require pre-treatment or specialized products; such items must be specified in the Detailed Scope of Work above.

PAYMENT TERMS

Payments shall be made in United States dollars. Unless otherwise stated, final payment is due within days of completion. Any undisputed late payment shall incur interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs and attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to termination. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within 10 days after written notice specifying the breach. Termination shall not relieve Client of payment for services performed and materials ordered prior to termination.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public information regarding the other party's business, pricing, or property conditions obtained in connection with performance of this Agreement, except as required by law or to employees, contractors, or insurers who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party.

INSURANCE, LIABILITY AND INDEMNIFICATION

Service Provider shall maintain commercial general liability insurance and workers' compensation insurance as required by applicable law and shall provide proof of insurance upon Client's request. Service Provider is responsible for damage caused by its negligence or willful misconduct. Client shall indemnify and hold Service Provider harmless from and against claims arising from pre-existing property conditions, concealed defects, or Client's failure to disclose relevant risks. Except for indemnification obligations and willful misconduct, both parties' aggregate liability under this Agreement shall be limited to the total amounts paid to Service Provider under this Agreement.

Client is responsible for moving fragile items, removing obstacles, and covering plants or surfaces as required. Client must notify Service Provider of any known permits, homeowner association requirements, or protections required prior to commencement of work.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state specified above, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration if the parties mutually agree; otherwise, venue for any litigation shall be the courts of the governing state.

ENTIRE AGREEMENT; MODIFICATION

This Agreement, together with the Detailed Scope of Work and any written change orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
