PRICE ACCEPTANCE AGREEMENT

RECITALS

WHEREAS, Seller is engaged in the business of supplying the goods and/or services described in the Price Schedule below; and WHEREAS, Buyer desires to accept the prices, quantities and terms set forth herein for the procurement of such goods and/or services; and WHEREAS, the parties intend that this Agreement constitute the final and binding acceptance of the prices set forth in the Price Schedule for the Effective Date and any agreed delivery schedule.

PAYMENT TERMS

Payment due within days from invoice or accepted shipment date, whichever occurs later. Accepted payment methods:

Late payments shall incur a late fee of % per month on the outstanding principal balance, compounded monthly, plus collection costs and reasonable attorneys' fees. Buyer acknowledges that disputed amounts must be submitted in writing within days of receipt of invoice, or such amounts will be deemed accepted.

PRICE ADJUSTMENTS; VALIDITY

Unless otherwise expressly set forth in writing by Seller and signed by both parties, the prices set forth in the Price Schedule are firm for a period of days from the Effective Date. Adjustments for increases in raw materials, taxes, duties, currency fluctuation, or changes in scope shall only be effective if agreed in writing.

TAXES, DUTIES AND WITHHOLDING

The Total Amount Due does not include taxes, duties, or other governmental assessments unless expressly stated. Buyer is responsible for all sales, use, value-added, excise or other taxes, and for any withholding required by law, except for taxes on Seller's income. If Buyer is required by applicable law to withhold or deduct taxes, Buyer shall provide Seller with official documentation evidencing such withholding and remit the full gross amount such that Seller receives the full amount specified in the Price Schedule.

WARRANTIES, REPRESENTATIONS AND LIMITATION OF LIABILITY

Each party represents that it has the authority to enter into this Agreement. Seller warrants that goods and services delivered shall materially conform to the specifications agreed in writing. EXCEPT FOR THE FOREGOING, SELLER MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

DEFAULT; REMEDIES

A party shall be in default if it fails to cure any material breach within days after receiving written notice. Remedies for default shall include, at the non-defaulting party's option, specific performance, termination of the Agreement, and recovery of damages. Exercise of one remedy shall not preclude others.

CONFIDENTIALITY

The parties agree to treat all non-public business, pricing, and technical information disclosed in connection with this Agreement as confidential and to use such information solely to perform obligations under this Agreement. Confidential information shall not include information that is or becomes publicly available other than through breach of this Agreement.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall first attempt to resolve disputes in good faith through negotiation. If negotiation fails, disputes shall be resolved by binding arbitration before a single arbitrator in the county of the governing state, unless the parties agree otherwise in writing.

MISCELLANEOUS

This Agreement, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof. No amendment shall be effective unless in writing and signed by authorized representatives of both parties. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that Seller may assign receivables to a financing institution.

ACCEPTANCE

By signing below, each party certifies that the signatory is duly authorized to execute this Agreement and that the party accepts the prices and terms set forth herein. The parties acknowledge that this Agreement is binding upon execution by both parties.
