What a Price Adjustment Request Letter Is and When to Use It

A Price Adjustment Request Letter is a formal written request from a buyer to a seller asking for a change to the price charged on an invoice, purchase order, or contract due to errors, agreed-upon price protection, volume discounts, returned goods, or pricing discrepancies. The letter cites the original transaction, states the requested adjustment or credit amount, provides factual support and documentation, and proposes a timeline for resolution. It serves as the official record of the request and can be used to support accounting corrections, credit memos, or dispute resolution in procurement and accounts-payable workflows.

Why a Clear Price Adjustment Request Letter Matters

A concise, properly supported request accelerates resolution, reduces accounting errors, and preserves supplier relationships while documenting the buyer’s position for audits and tax records. Use this letter to establish a formal trail for credits, refunds, or contract price changes.

Why a Clear Price Adjustment Request Letter Matters

Who Typically Prepares and Receives These Letters

The recipient is usually the vendor’s billing or account management contact; retain copies for internal audit and reconciliation.

  • Procurement teams requesting retroactive price protection or volume discounts.
  • Accounts payable resolving invoice discrepancies or credit memos.
  • Sales or account managers documenting negotiated price changes for the customer ledger.

Who Signs These Letters and Why Their Role Matters

Purchasing Officer

A purchasing officer or contract manager typically prepares and approves the request to ensure the adjustment aligns with purchase terms and internal controls. Their signature confirms authorization and helps accounting process a credit or correction.

Finance Approver

A finance or accounts-payable approver signs when the change affects ledger entries, tax reporting, or cash flow. Their approval documents internal consent and is used for reconciliation and audit trails.

Essential Parts of a Professional Price Adjustment Request Letter

Include six core elements so the vendor can verify and act on the request without delay. Each element establishes the factual basis and shows the requested remedy.

Header

Sender and recipient contact details, company names, addresses, phone and email for follow-up; include date and a clear subject line referencing invoice or contract number.

Reference

Cite the original contract, purchase order, invoice number, invoice date, and SKU or line-item identifiers so the vendor can locate the transaction quickly.

Summary of Issue

Briefly describe the reason for the request—overcharge, price protection, returned quantity, promotional pricing mismatch, or calculation error—with concise facts.

Requested Adjustment

State the exact adjustment amount, credit memo value, or revised unit price and how you want the vendor to apply it (credit, refund, or revised invoice).

Supporting Evidence

List attached documents (invoices, purchase orders, shipment receipts, contract excerpts, screenshots) that substantiate the claim and preferred resolution timeline.

Signature Block

Authorized signature, printed name, title, and date; include electronic signature metadata if signed digitally for validation and audit trail purposes.

  • 04
Send and Track: Deliver via recorded channel and retain a copy for the ledger.

Key Processing Milestones

Track milestones from submission to ledger update so stakeholders know status and next steps.

Common Mistakes That Slow or Block Resolution

  • Missing or incomplete invoice and PO references force manual vendor lookups and delay approval cycles by days or weeks.
  • Vague adjustment descriptions (e.g., 'overcharged') without calculation detail lead to vendor rejections or requests for clarification.
  • Using informal channels without an audit trail prevents reliable reconciliation and can cause duplicate credits or missed refunds.
  • Not including an authorized signature or approval causes vendors to reject the request for lack of internal authorization.

Risks of Incorrect or Unsupported Adjustment Requests

Accounting Errors: Misstated revenue or expenses
Duplicate Credits: Over-crediting or double refunds
Dispute Escalation: Contractual breach claims
Tax Impacts: Incorrect taxable amounts
Audit Exposure: Insufficient documentation
Vendor Relationship: Loss of goodwill or preferential pricing

Required Data Elements to Include for Verification

Invoice Number: Exact invoice ID
Purchase Order: PO or contract number
Transaction Date: MM/DD/YYYY
Item Details: SKU or service line
Adjustment Amount: Numeric currency value
Authorized Signer: Name and title
