1. Offer and Acceptance: This Price Quote constitutes an offer to supply the goods and/or services described herein subject to these terms. Acceptance occurs only upon signature by authorized representatives of both parties or upon Vendor's written acknowledgment of Client's purchase order referencing the Quote Number.

2. Price Validity: Prices set forth are valid only through the Valid Until date shown above. Vendor may adjust quoted prices if Client requests changes to specifications, quantities, or delivery schedule.

3. Taxes and Duties: Client is responsible for all sales, use, value-added, import, export or other taxes, duties, or levies imposed by any authority, unless Vendor's price explicitly includes such taxes. Vendor may invoice such amounts separately.

4. Payment Default: If payment is not received when due, Vendor may charge interest at the lesser of 1.5% per month or the maximum rate permitted by law, and may suspend performance until payment is current.

5. Warranty and Limitation of Liability: Vendor warrants only that goods will conform to the agreed specifications for a period expressly stated in writing. EXCEPT AS PROVIDED, VENDOR DISCLAIMS ALL OTHER WARRANTIES. VENDOR'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT UNDER THIS QUOTE.

6. Cancellation and Changes: Cancellation or changes requested by Client after acceptance may incur charges to cover work performed and reasonable restocking or cancellation fees.

7. Confidentiality: Pricing, specifications and other non-public information exchanged in connection with this Quote are confidential and shall not be disclosed to third parties without prior written consent, except as required by law.

8. Governing Law and Dispute Resolution: Any dispute arising from this Quote or subsequent agreement shall be governed by applicable commercial law. The parties will negotiate in good faith to resolve disputes prior to seeking formal remedies.
