What a Pricing Addendum is and when it applies

A Pricing Addendum is a contract attachment that sets or amends the monetary terms tied to a primary agreement. It specifies unit prices, discounts, billing frequency, taxes, invoicing rules, and any escalation or adjustment mechanisms. The addendum controls how payments are calculated, when they are due, and how price disputes will be resolved, while referencing the parent agreement for scope and performance obligations. Use a Pricing Addendum to separate price mechanics from operational terms, reduce ambiguity in billing, and create a discrete record for audit and tax purposes.

Why use a Pricing Addendum to manage price terms

A Pricing Addendum centralizes pricing details so both parties have a single, enforceable reference for rates, billing cycles, and adjustments. Clear pricing reduces disputes, supports compliance (tax and audit trails), and makes renewals or amendments simpler to track and sign electronically under ESIGN and UETA frameworks.

Why use a Pricing Addendum to manage price terms

Who typically prepares and signs a Pricing Addendum

Several organizational roles regularly draft, review, or approve Pricing Addenda during contracting, renewals, or one-off pricing events.

  • Procurement managers and buyers who negotiate price, volume discounts, and billing terms with suppliers.
  • Sales or account managers responsible for pricing schedules, special offers, and customer renewals.
  • Legal or contracting teams that ensure the addendum aligns with the master agreement and compliance requirements.

Coordination among procurement, sales, finance, and legal reduces errors and ensures the signed addendum is actionable for invoicing and audit purposes.

Late payment penalties: May apply per contract or state law
Tax exposure: Incorrect tax treatment can trigger assessments
Voidable terms: Ambiguity can render pricing unenforceable
Contract breach: Material pricing errors may constitute breach
Audit failures: Insufficient records hinder tax or financial audits
