RECITALS

WHEREAS, the parties entered into a Master Agreement titled dated (the "Agreement"); and

TERM AND RENEWAL

The pricing set forth in this Addendum shall remain in effect from Start Date: through End Date: unless earlier terminated in accordance with the Agreement.

Renewal: Automatic renewal for successive terms of unless either party provides written notice of non-renewal at least prior to the then-current term expiration.

PRICE ADJUSTMENT

CONFIDENTIALITY

The pricing and commercial terms set forth in this Addendum constitute Confidential Information of the disclosing party. Each party shall treat such information in accordance with the confidentiality provisions of the Agreement. Disclosure of pricing is permitted only to the extent required for internal budgeting or as required by law with prior notice and opportunity to seek protective measures.

MISCELLANEOUS

Except as expressly amended by this Addendum, all other terms and conditions of the Agreement remain in full force and effect. In the event of any conflict between this Addendum and the Agreement, the terms of this Addendum shall prevail solely with respect to the subject matter hereof.
