Pricing Page — General Business Agreement

Client shall pay Service Provider the amounts set forth in the Pricing Schedule in accordance with the schedule and conditions set forth below.

Overdue amounts shall accrue interest at the lesser of the maximum rate permitted by applicable law or and a one-time administrative late fee of . Client is responsible for collection costs, including reasonable attorneys' fees, for amounts not timely paid.

TERM AND TERMINATION

Confidential Information shall not include information that is or becomes generally known to the public through no fault of the receiving party, is rightfully received by the receiving party without restriction from a third party, or is independently developed without use of the disclosing party's Confidential Information.

The obligations in this clause shall survive termination or expiration of this Pricing Page for a period of years, except for trade secrets, for which such obligations shall continue so long as the information qualifies as a trade secret under applicable law.

GOVERNING LAW

This Pricing Page shall be governed by and construed in accordance with the laws of the state or jurisdiction specified by the parties below. The parties submit to the exclusive jurisdiction of the courts located in the selected jurisdiction for resolution of disputes arising under this Pricing Page.

ENTIRE AGREEMENT
