RECITALS

WHEREAS, Client is engaged in the business described above and requires certain products and/or services detailed in this Pricing Price Sheet; and

WHEREAS, Vendor supplies the goods and services described below and represents that it has the competence, personnel, and resources to provide such goods and services at the prices set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree that the pricing, scope, and terms set forth in this document constitute the binding Price Sheet referenced by any underlying services agreement between the parties.

The following prices are firm for the Term specified in this Price Sheet except as expressly allowed in the Price Adjustment clause below.

All payments shall be made in United States Dollars unless otherwise agreed in writing. Vendor may suspend performance for Client accounts more than days past due after providing notice.

Either party may terminate this Price Sheet for convenience upon days' prior written notice to the other party. Termination for cause is permitted where a party materially breaches its obligations and fails to cure within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Price Sheet and shall not disclose such information to any third party except to its employees, agents, or contractors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein. Confidential information does not include information that is or becomes generally available to the public other than by breach of this obligation.

PRICE ADJUSTMENTS

Prices set forth in this Price Sheet are fixed for the initial twelve (12) month period following the Effective Date, after which Vendor may propose adjustments no more than once per twelve (12) month period. Any adjustment shall not exceed without prior written agreement of Client.

GOVERNING LAW

This Price Sheet shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Price Sheet, together with any referenced statements of work, schedules, or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, and agreements, whether written or oral. No modification shall be binding unless executed in writing by authorized representatives of both parties.
