PRICING RATE SHEET

This Pricing Rate Sheet and Services Agreement (the Agreement) is entered into as of Effective Date:

WHEREAS

WHEREAS, the Service Provider is engaged in the business of providing the services and deliverables set forth below and represents that it has the skill, personnel and resources necessary to furnish such services to the Client; and

WHEREAS, the Client desires to engage the Service Provider to provide such services on the terms and at the rates set forth in this Pricing Rate Sheet; and

WHEREAS, the parties intend for this document to govern pricing, billing, and the parties' mutual obligations with respect to the described services during the Term defined herein.

SCOPE OF WORK

PRICING SCHEDULE

The following rates shall apply for services rendered by the Service Provider to the Client. All rates are exclusive of taxes unless otherwise indicated.

PAYMENT TERMS

In consideration for the services described herein, the Client shall pay the Service Provider in accordance with the Pricing Schedule above and the following terms:

Late fees shall accrue at the stated rate on overdue balances and the Client shall be responsible for all collection costs, including reasonable attorneys' fees, incurred by the Service Provider in enforcing payment.

Unless otherwise stated, rates do not include taxes. The Client shall be responsible for sales, use, value-added, and other similar taxes, but not for taxes based on the Service Provider's net income.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach that remains uncured for the notice period set forth above, or immediately for insolvency or bankruptcy of the other party. Upon termination, the Client shall pay the Service Provider for all services performed and reasonable, non-cancellable commitments made through the effective date of termination.

CONFIDENTIALITY

Each party shall maintain the confidentiality of Confidential Information disclosed by the other party and shall not disclose such information to third parties except as required by law or with prior written consent. Confidential Information does not include information that is or becomes publicly available other than by breach of this Agreement, or information independently developed without use of the other party's Confidential Information. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising under this Agreement.

ENTIRE AGREEMENT

This document, together with any written attachments or appendices incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.
