PRIMARY ADDRESS FORM

Parties

This Primary Address Form and Agreement ("Agreement") is made and entered into as of Effective Date: by and between the parties identified below.

Recitals

WHEREAS, the parties are entering into certain business arrangements requiring the formal designation and acceptance of each party's primary address for delivery of notices, invoices, and other official correspondence; and

WHEREAS, the parties wish to confirm their respective primary addresses and to set forth related administrative and contractual terms governing notices, payments, confidentiality, and remedies; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Scope of Address Designation and Services

The parties hereby designate the primary address information provided above as the exclusive address for service of notices and the primary location for delivery of administrative correspondence. The designating party will be responsible for maintaining accurate address information and promptly notifying the other party of any changes in accordance with Section 6.

Payment Terms

In consideration for address designation, mail handling, and any ancillary services identified in the Scope of Work, Party B shall pay Party A according to the schedule below.

All payments shall be made in lawful currency of the United States unless otherwise expressly agreed in writing. Interest on overdue amounts shall accrue at the rate specified above and may be recovered in addition to any other remedies.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered at least prior to the intended termination date. Termination for cause may be effected where a party materially breaches a covenant and fails to cure within thirty (30) days after receipt of written notice specifying the breach.

Change of Primary Address / Notices

Each party agrees to maintain the accuracy of its primary address and to provide prompt notice of any change. Notices shall be deemed given: (a) upon personal delivery; (b) three (3) business days after deposit with a nationally recognized overnight courier; or (c) on the date shown on the recipient's signed receipt for registered or certified mail. Notices must be sent to the primary address designated in this form unless a new primary address is provided in accordance with this Section.

Confidentiality

Each party acknowledges that in the course of performing under this Agreement it may receive Confidential Information of the other party. For purposes of this Agreement, "Confidential Information" means nonpublic business, financial or operational information identified as confidential or that reasonably should be understood to be confidential. Each party agrees: (a) to hold Confidential Information in strict confidence and to use it solely for the performance of this Agreement; (b) not to disclose Confidential Information to any third party except to employees or contractors on a need-to-know basis who are bound by confidentiality obligations at least as restrictive as those herein; and (c) to take reasonable measures to protect Confidential Information from unauthorized disclosure. The foregoing obligations shall not apply to information that is publicly known, already in the receiving party's possession without restriction, rightfully received from a third party, or independently developed without use of the disclosing party's Confidential Information.

Governing Law; Remedies

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that money damages may be an inadequate remedy for breach of certain obligations hereunder, including the confidentiality and notice provisions, and that each party shall be entitled to equitable relief in addition to any other remedies at law or in equity.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
