PRINCIPAL BUSINESS ADDENDUM

This Principal Business Addendum (the "Addendum") is entered into effective as of by and between the parties listed below.

Payment Terms

In consideration for the services described above, Party B shall pay Party A the amounts and on the schedule set forth below.

Late payments shall bear interest at the rate of % per month (or the maximum rate permitted by law), and a late fee of may be charged for each late invoice.

Term and Termination

This Addendum shall commence on and shall remain in effect until unless earlier terminated as provided herein.

Either party may terminate this Addendum for convenience upon days' prior written notice to the other party. Termination for cause may be effected immediately upon written notice for material breach that is not cured within 30 days after receipt of a cure notice.

Confidentiality

Each party shall maintain in confidence all non-public, business, technical, and financial information disclosed by the other party in connection with this Addendum ("Confidential Information"). Confidential Information shall not include information that is (i) already known to the receiving party without obligation of confidentiality, (ii) becomes publicly available through no breach of this Addendum, or (iii) is rightfully received from a third party without restriction. The parties agree to protect Confidential Information with the same degree of care they use to protect their own confidential information, but not less than reasonable care.

The obligations set forth in this section shall survive termination of this Addendum for a period of years, or for the maximum period permitted by law if longer.

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of this Addendum.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into and perform its obligations under this Addendum, that the execution and delivery of this Addendum has been duly authorized, and that this Addendum constitutes a legal, valid, and binding obligation enforceable against it in accordance with its terms.

Entire Agreement

This Addendum, together with the Master Agreement and any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. In the event of any conflict between the terms of this Addendum and the Master Agreement, the terms of this Addendum shall control.

Amendments and Notices

No amendment to this Addendum shall be effective unless in writing and signed by authorized representatives of both parties. Notices required or permitted under this Addendum shall be in writing and delivered to the addresses listed above or to such other address as a party designates in writing.
