Confidentiality

Confidential Information shall not be disclosed to third parties except to the extent necessary for performance of this Form and subject to confidentiality obligations no less protective than those herein. This obligation survives termination for two years.

Warranties, Intellectual Property, and Indemnity

Client warrants that it owns or has obtained all rights, licenses, and permissions necessary for Printer to reproduce the materials described in this Form and that the materials do not infringe third-party rights. Client shall indemnify, defend, and hold Printer harmless from and against any claims, damages, or costs arising out of Client's breach of this warranty.

Printer warrants that the reprint will conform to the specifications set forth in this Form and industry-standard manufacturing practices. Printer's sole obligation for nonconforming goods is limited to reprinting or refund, at Printer's discretion, provided Client gives timely notice of nonconformity as stipulated above.

Change Orders and Cancellation

Any changes to the Scope of Work or specifications must be documented in a written change order signed by both parties. Requests for cancellation after approval of proofs or commencement of production are subject to charges covering work performed, materials ordered, and reasonable cancellation fees.

Governing Law; Entire Agreement
