This Printer Rental Agreement ("Agreement") is entered into as of the Effective Date by and between:

WHEREAS

WHEREAS, Lessor is engaged in the business of leasing office equipment, including printers and multifunction devices; and

WHEREAS, Lessee desires to rent from Lessor and Lessor desires to rent to Lessee the equipment described below on the terms and conditions set forth in this Agreement.

EQUIPMENT DESCRIPTION

The equipment subject to this Agreement ("Equipment") is described as follows:

SCOPE OF WORK

Lessor shall deliver the Equipment to Lessee, install the Equipment at Lessee's premises if requested, and provide basic user orientation. Lessee shall use the Equipment solely for its internal business purposes in accordance with manufacturer's specifications and this Agreement.

Either party may terminate this Agreement for cause upon written notice for material breach that remains uncured for days following receipt of written notice. Lessor may terminate immediately for nonpayment.

MAINTENANCE, REPAIRS AND SUPPLIES

Lessor shall be responsible for routine maintenance and repair of the Equipment arising from normal use, at Lessor's expense, provided Lessee notifies Lessor promptly of any malfunction. Lessee shall be responsible for consumables (such as paper and toner) unless otherwise agreed in writing.

USE, CARE AND LOCATION

Lessee shall keep the Equipment at the installation address provided above and shall not remove or relocate the Equipment without Lessor's prior written consent. Lessee shall use the Equipment in a safe manner and shall not permit misuse, modification, or unauthorized repairs.

INSURANCE AND LIABILITY

Lessee shall maintain insurance covering loss or damage to the Equipment and general liability insurance covering Lessee's use of the Equipment. Lessee shall list Lessor as an additional insured or loss payee as reasonably requested by Lessor.

INDEMNIFICATION

Lessee shall indemnify, defend and hold harmless Lessor and its affiliates, officers, agents and employees from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Lessee's possession, use, misuse, or disposition of the Equipment, except to the extent caused by Lessor's gross negligence or willful misconduct.

DEFAULT AND REMEDIES

If Lessee fails to pay rent or breaches any material obligation under this Agreement, Lessor may declare Lessee in default, accelerate all amounts due, repossess the Equipment without court order to the extent permitted by law, and pursue any other remedies available at law or in equity. Lessee shall be liable for costs of repossession and reasonable attorneys' fees incurred by Lessor.

TERMINATION AND RETURN

Upon termination or expiration, Lessee shall return the Equipment to Lessor in substantially the same condition as delivered, normal wear and tear excepted. Lessee shall be responsible for costs to repair damage beyond normal wear and tear and for costs of removal if applicable.

CONFIDENTIALITY

Each party shall keep confidential all nonpublic business information disclosed in connection with this Agreement, including equipment configurations, pricing and support terms. Confidential information shall not include information that becomes publicly available through no fault of the receiving party or is rightfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or waiver must be in a writing signed by both parties.

MISCELLANEOUS

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above by certified mail, courier, or personal delivery. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
