What the Printer Services Addition Is

A Printer Services Addition is a written amendment or addendum that incorporates printer supply, maintenance, or managed print services into an existing vendor or facilities agreement. It defines scope, equipment, consumables, service levels, pricing, invoicing, term, and responsibilities for both parties. The document clarifies whether supplies are billed per page, included in a meter-read plan, or invoiced as separate line items, and it attaches delivery, installation, and disposal terms as needed for legal and operational clarity.

Why a Dedicated Addition Matters

Documenting printer services in a discrete addition prevents ambiguity about costs, performance standards, and ownership of equipment. Clear terms reduce disputes, simplify billing reconciliation, and enable consistent service-level enforcement across sites.

Why a Dedicated Addition Matters

Who Typically Prepares and Signs This Addition

The Printer Services Addition is commonly completed by procurement, facilities management, IT, or the vendor account representative before onboarding or when expanding services.

  • Procurement teams handling vendor contracts and central billing for multi-site organizations.
  • Facilities or IT managers who track equipment locations, meter reads, and maintenance schedules.
  • Vendor account managers or sales representatives who document pricing, SLAs, and service windows.

The final signers are usually an authorized company officer and the vendor’s authorized representative; signatures should match the organization names used in the main contract.

Step-by-Step: Completing the Printer Services Addition

Follow this sequence to prepare, review, and finalize the addition with minimal rework.

  • 01
Gather contract data: Collect master agreement reference, PO number, and existing term.
  • 02
Define services: Specify supplies, maintenance, and meter billing clearly.
  • 03
Set pricing: Enter rates, billing frequency, and any volume discounts.
  • 04
Authorize signatures: Obtain signatures from authorized representatives and date the document.

How Execution and Distribution Typically Flow

Execution and circulation usually follow a short routing chain from preparer to approver to signer, with copies distributed after signature.

  • Preparation: Create addendum referencing the base agreement and PO.
  • Internal approval: Obtain procurement and legal sign-off as required.
  • Signing: Collect signatures electronically or on paper from both parties.
  • Distribution: Send fully executed copies to procurement, accounts payable, and vendor.

Technical Considerations for eSigning and Delivery

Confirm the eSignature platform supports the authentication, audit trail, and file formats your legal or procurement teams require.

  • File formats: PDF and DOCX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS code, or two-factor

Choose platform settings that produce a complete certificate of completion, retain audit data, and preserve an exact signed copy for records and dispute resolution.

Essential Elements to Include in a Professional Addition

Include these sections to make the Printer Services Addition legally robust and operationally clear for both parties.

Scope

Define covered devices, services included, excluded items, and whether remote diagnostics or onsite visits apply, so expectations are unambiguous.

Pricing

Specify per-page rates, meter thresholds, fixed monthly fees, billing increments, and any minimums to avoid later invoice disputes and support accurate budgeting.

Term

State the addition’s effective date, initial term, renewal mechanics, and termination rights including notice periods and cure windows to manage lifecycle risk.

Service Levels

Quantify response times, parts availability, uptime targets, and remedies such as service credits to align vendor performance with business needs.

Equipment Ownership

Clarify title to leased or provided equipment, responsibility for loss or damage, removal procedures, and any end-of-term fees or buyout pricing.

Data and Security

Address device-collected data, confidentiality, any HIPAA or PCI implications, and obligations for secure disposal of stored content on devices.

Security and Compliance Points to Note

Encryption: TLS 1.2/1.3 in transit
At-rest protection: AES-256 encryption at rest
Audit trail: Timestamps, IPs, action history
Certifications: SOC 2 Type II, ISO 27001
HIPAA support: BAA available when required
Accessibility: WCAG 2.0 Level AA

Common Preparation Errors to Avoid

  • Leaving the base agreement reference blank, which severs the legal link between the addendum and the master contract and causes interpretation disputes.
  • Failing to specify billing units (per page, per click, per device) and meter-read frequency, leading to recurring invoice reconciliation issues.
  • Using vague service-level language such as 'reasonable time' instead of measurable response or repair windows, which complicates enforcement and remedies.
  • Mismatched signer names or unsigned exhibits; an unsigned exhibit can render terms unenforceable if not integrated properly into the executed document.

Potential Legal and Financial Consequences of Errors

Contract breach: Damages exposure
Invoice disputes: Delayed payments
Data exposure: Regulatory fines
Service gaps: Operational downtime
Notarization issues: Execution invalidation
HIPAA risk: Civil penalties

Typical Timeframes and Notice Periods to Include

Set explicit dates and notice windows so billing, installation, and termination events are predictable and enforceable.

Effective date and term:

Specify start date and initial term length in months or years.

Installation window:

Define the vendor’s target installation and commissioning timeframe.

Billing cycle:

State invoice frequency and payment due days (for example, Net 30).

Service termination notice:

Require written notice and cure period, commonly 30 to 90 days.

Meter-read schedule:

Indicate monthly or quarterly read dates and dispute period.
