WHEREAS, Provider represents that it possesses the technical capability, equipment, and personnel to perform the printing services in accordance with industry standards and the terms set forth below;

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

Delivery and Shipping

Payment Terms

Client shall pay Provider the amounts set forth in this Print Job Order according to the schedule below. All amounts are in the currency agreed by the parties.

Provider may suspend production for any past-due amounts after providing written notice. Client is responsible for applicable taxes unless otherwise stated.

Changes, Additional Work, and Cancellation

Additional services, change orders, or adjustments to quantity, materials, or schedule requested after execution of this Print Job Order will be charged at Provider's standard rates plus any out-of-pocket expenses. Provider will obtain Client's written approval for any change that increases the total by more than the threshold agreed between the parties.

Term and Termination

This Print Job Order is effective as of the date signed by the last party below and shall remain in effect until completion of the Services described herein or until terminated as provided below.

Confidentiality

Each party shall maintain as confidential all proprietary or non-public information disclosed by the other party in connection with this Print Job Order. Confidential information shall not include information that is or becomes public other than by a breach of this obligation. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Warranties and Remedies

Provider warrants that printed materials will conform to the specifications set forth in this Print Job Order and will be free from defects in materials and workmanship at the time of delivery. Client's sole remedy for nonconforming work shall be reprint of the nonconforming items or, at Provider's option, a pro rata refund of the amount paid for such items. Provider's warranty does not cover defects arising from Client-supplied files or materials, color variations inherent to printing processes, or damage after delivery.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from third-party claims arising out of that party's negligence, willful misconduct, or breach of this Print Job Order. Except for claims for gross negligence or willful misconduct, neither party shall be liable for incidental, consequential, or punitive damages, and aggregate liability shall not exceed the total amounts paid by Client to Provider under this Print Job Order.

Governing Law

This Print Job Order shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties. Disputes shall be resolved by the chosen forum in accordance with such laws.

Entire Agreement

This Print Job Order, together with any attached proofs or appendices expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior or contemporaneous agreements, representations, and understandings. Any modification to this Print Job Order must be in writing and signed by authorized representatives of both parties.
