PRIVATE LABEL LICENSING AGREEMENT

RECITALS

WHEREAS, Licensor owns certain intellectual property, trademarks and know-how related to the manufacture, formulation and branding of the products described as Private Label Products:

WHEREAS, Licensee desires to obtain the right to market, distribute and sell the Private Label Products under Licensee's own brand subject to the terms and quality controls set forth herein; and

WHEREAS, Licensor is willing to grant a license to Licensee on the terms and conditions contained in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Confidential Information" means trade secrets and all non-public information disclosed by one party to the other in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

1.2 "Territory" means the geographic area in which Licensee is permitted to sell the Private Label Products:

2. GRANT OF LICENSE

Licensor hereby grants to Licensee a non-transferable, non-exclusive/exclusive (select one) license to manufacture, market, distribute and sell the Private Label Products bearing Licensee's branding within the Territory for the Term set forth in Section 4, subject to the conditions and limitations set forth in this Agreement.

Licensee shall not use Licensor's trademarks, logos or trade dress except as expressly authorized in writing and in accordance with Licensor's then-current trademark usage guidelines and quality control requirements.

3. SCOPE OF PRODUCTS; SPECIFICATIONS

3.1 Products. The license applies to the products listed on Exhibit A or as otherwise agreed in writing (the "Products"). Licensee shall not alter Product formulations, packaging, or labeling without Licensor's prior written consent.

3.2 Specifications. All Products supplied under this Agreement shall conform to the specifications, samples and quality standards supplied by Licensor. Licensee acknowledges that adherence to such specifications is material to the license grant.

4. TERM

The initial term of this Agreement shall commence on the Effective Date and continue for a period of unless earlier terminated in accordance with this Agreement. Thereafter the Agreement shall

Licensee's rights hereunder shall be limited to the Territory. Licensee shall not export, re-export or otherwise distribute Products outside the Territory without Licensor's prior written consent.

6. ROYALTIES, PRICING AND PAYMENT

6.1 Royalties. Licensee shall pay Licensor a royalty equal to of Net Sales (as defined below) of the Products. "Net Sales" means gross invoiced sales less customary deductions for returns, customer discounts and taxes.

6.2 Payment Terms. Royalties shall be paid quarterly within after the end of each calendar quarter, accompanied by a report setting forth quantities sold, gross sales and deductions.

7. QUALITY CONTROL

Licensee shall manufacture, package and store the Products in accordance with Good Manufacturing Practices and Licensor's quality standards. Licensor shall have the right, upon reasonable notice, to inspect Licensee's facilities and applicable records to verify compliance. Failure to cure material quality deficiencies within thirty (30) days of notice shall constitute a breach.

8. INTELLECTUAL PROPERTY; OWNERSHIP

All intellectual property rights in and to the Products, existing trademarks and any improvements conceived by Licensor remain the sole property of Licensor. Licensee acquires no right, title or interest in the Licensor's intellectual property except the limited license expressly granted herein.

9. CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to third parties any Confidential Information received from the other party, except as required by law. Receiving party shall use Confidential Information solely to perform its obligations and exercise its rights under this Agreement.

10. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and that performance will not violate any agreement with a third party. Licensor further represents that to its knowledge the Products do not infringe third-party intellectual property rights.

11. INDEMNIFICATION

Licensee shall indemnify, defend and hold harmless Licensor from and against any claims, liabilities, damages and expenses arising out of Licensee's manufacturing, marketing, labeling, distribution or sale of Products, except to the extent caused by Licensor's gross negligence or willful misconduct.

12. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, AND LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE AMOUNTS PAID OR PAYABLE BY LICENSEE TO LICENSOR IN THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM.

13. TERMINATION

Either party may terminate this Agreement upon material breach by the other party if such breach is not cured within thirty (30) days after written notice. Licensor may terminate immediately for insolvency or unauthorized use of Licensor's intellectual property.

14. EFFECT OF TERMINATION

Upon termination, Licensee shall cease all use of Licensor's intellectual property, cease sale of Products, and either return or destroy confidential materials as directed by Licensor. Termination shall not relieve Licensee of payment obligations accrued prior to termination nor affect rights and obligations that by their nature survive termination.

15. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below (or to such other address as either party designates by notice).

16. ASSIGNMENT; SUBLICENSE

Licensee shall not assign, transfer or sublicense its rights under this Agreement without Licensor's prior written consent, which consent shall not be unreasonably withheld. Any purported assignment without such consent is void.

17. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by authorized representatives of both parties. No failure or delay in exercising any right shall operate as a waiver. This Agreement may be executed in counterparts, each of which when executed shall be deemed an original.

18. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

MISCELLANEOUS PROVISIONS

19.1 Insurance. Each party shall maintain insurance reasonable for its activities under this Agreement, including product liability coverage in commercially reasonable amounts.

19.2 Records and Audit. Licensee shall keep accurate books and records relating to sales of Products and provide Licensor with access to such records upon reasonable notice for audit purposes. Any underpayment discovered shall be paid within thirty (30) days plus interest at the legal rate.
