The parties agree that Sponsor will provide the prize and any ancillary items, and Winner will accept receipt and provide required information for delivery and tax reporting. The detailed obligations, milestones and acceptance criteria are described below.

If the prize is a cash award, the following payment terms apply. Sponsor may also elect to deliver prize value via third-party vendor.

Term and Termination

This confirmation becomes effective on the Start Date and remains in effect until fulfillment of the prize obligations or until the End Date, unless earlier terminated as follows.

Confidentiality

Each party shall hold in confidence all non-public information received from the other party in connection with this prize confirmation, including but not limited to delivery logistics, vendor pricing, and personal contact data. Confidential information shall not include information that is or becomes public without breach by the receiving party, or is rightfully received from a third party free of restrictions.

Duration: The confidentiality obligations will continue for a period of years after termination or fulfillment of this confirmation.

Taxes, Releases, and Representations

Winner certifies eligibility to accept the prize and acknowledges that all federal, state and local tax liabilities arising from acceptance or redemption of the prize are the sole responsibility of the Winner unless Sponsor expressly agrees in writing otherwise. Winner shall provide any necessary tax forms or identification as required by Sponsor for tax reporting.

Certification: I certify that I am eligible to accept the prize and that the information provided in this form is true and accurate.

Release of Claims: I release Sponsor and its agents from liability arising from acceptance or use of the prize to the fullest extent permitted by law.

Publicity Consent

Winner: I grant permission for Sponsor to use my name and likeness in promotional materials related to this prize unless I opt out in writing prior to delivery.

Governing Law

This Prize Confirmation Form shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any dispute arising out of or relating to this confirmation shall be resolved in courts located within that State.

Entire Agreement

This Prize Confirmation Form, together with any attachments or contemporaneous written communications signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, understandings and agreements between them.
