This Pro Forma Invoice is issued for quotation and customs purposes only and does not constitute a binding contract for sale. Acceptance of this Pro Forma Invoice by Buyer, together with receipt of any required deposit, shall form the basis for a binding commercial invoice and sales agreement to be issued by the Seller. Prices quoted are exclusive of applicable taxes, duties, insurance and freight unless expressly stated. All delivery dates are estimates; Seller shall not be liable for delays beyond its control. Title to goods remains with Seller until full payment is received. In the event of default, Buyer shall be liable for collection costs, interest at the rate specified below, and any applicable penalties.
