PROCEEDS ASSIGNMENT AGREEMENT

This Proceeds Assignment Agreement (the Agreement) is made and entered into effective as of (Effective Date), by and between:

Recitals

WHEREAS, Assignor is the holder of certain right, title and interest in and to certain proceeds arising from (the Proceeds);

Assignor hereby absolutely and unconditionally assigns, transfers, and conveys to Assignee all right, title and interest in and to the Proceeds described above, whether now existing or hereafter arising, to the extent and subject to the terms set forth in this Agreement.

This Agreement shall commence on the Effective Date and shall continue until the earlier of (a) full payment of the Assigned Proceeds to Assignee, or (b) termination by either party in accordance with this section.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non-public information obtained from the other party in connection with this Agreement, except as required by law or as necessary to enforce the terms of this Agreement. This obligation of confidentiality shall survive termination of this Agreement for years.

Representations and Warranties

Assignor represents and warrants that: (a) Assignor has full right and authority to assign the Assigned Proceeds; (b) the Assigned Proceeds are free and clear of liens, encumbrances, or other third-party claims except as disclosed in writing to Assignee; and (c) execution and performance of this Agreement do not violate any agreement to which Assignor is a party.

Assignee represents that it has the legal capacity to accept the assignment and to perform its obligations under this Agreement.

Notices

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the parties at their addresses set forth below or to such other address as either party may designate by notice to the other.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement
