PROCUREMENT PROCEDURE TEMPLATE

WHEREAS: Client Name: (hereinafter "Organization") seeks to establish standardized procurement procedures for the acquisition of goods, services and works; and

WHEREAS: Supplier Name: (hereinafter "Supplier") is willing to supply such goods or services in accordance with the procedures, terms and conditions set forth in this Agreement; and

12. Conflict of Interest

Each party warrants that no officer, director, employee or agent has a conflict of interest with respect to any procurement under this Agreement. Any potential conflicts discovered must be disclosed in writing immediately.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of: . Parties shall attempt to resolve disputes in good faith prior to initiating formal proceedings.

14. Entire Agreement

This document, together with any Purchase Orders and attachments explicitly incorporated hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions and understandings.
