PROCUREMENT PURCHASE AGREEMENT

This Procurement Purchase Agreement ("Agreement") is entered into by and between the parties identified below for the purchase and sale of the goods and/or services described herein pursuant to the terms and conditions set forth in this Agreement.

Seller shall supply the goods and/or services described below in accordance with the specifications, quantities and delivery terms set forth in this Agreement. Any change to specifications or quantities requires prior written change order executed by authorized representatives of both parties.

Price, Payment and Invoicing

Price is fixed for the quantities and scope set forth unless otherwise agreed by a written amendment. Unless otherwise specified, Buyer will pay Seller in accordance with the payment terms below.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law from the due date until paid. Buyer may withhold payment for nonconforming goods or unresolved disputes in good faith.

Delivery, Title and Acceptance

Delivery terms: . Title and risk of loss shall pass to Buyer upon unless otherwise agreed in writing.

Buyer shall inspect goods on receipt and shall notify Seller of any nonconformity within days. Failure to give timely notice shall not waive Buyer’s remedies for latent defects.

Seller warrants that all goods and services supplied under this Agreement shall conform to the agreed specifications, be free from defects in material and workmanship, and be merchantable for a period of from acceptance. Seller shall, at its expense, promptly repair or replace nonconforming goods or re-perform nonconforming services. Remedies provided herein are cumulative and in addition to any other remedies available at law or in equity.

Indemnification and Insurance

Seller shall indemnify, defend and hold harmless Buyer and its affiliates from claims, losses, liabilities and expenses arising out of Seller’s breach, negligence or willful misconduct. Seller shall maintain insurance coverage appropriate to the risk, including commercial general liability and product liability insurance, and shall provide certificates of insurance upon request.

Compliance; Confidentiality

Each party shall comply with all applicable laws, regulations and export controls in performance of its obligations. Each party shall keep confidential any non-public business information disclosed in connection with this Agreement and shall not use such information except to perform its obligations under this Agreement.

Termination and Default

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for days after written notice. In addition, Buyer may terminate for convenience upon written notice subject to payment for conforming goods delivered and reasonable costs incurred by Seller to the extent agreed in writing.

Force Majeure

Neither party shall be liable for delay or failure to perform to the extent caused by events beyond its reasonable control, provided that the affected party gives prompt notice and takes commercially reasonable steps to mitigate the impact.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information set forth above or such other address as either party may designate by written notice. Notices shall be effective upon receipt.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws chosen by the parties: , without regard to conflict of laws principles. Disputes shall be resolved by good faith negotiation; if unresolved, parties may pursue remedies in courts of competent jurisdiction in the chosen forum.
