WHEREAS Buyer: desires to purchase from Seller the barrels and related services described below under the terms set forth in this Order Form; and

Payment Terms

Buyer shall pay Seller the Total Amount Due in accordance with the schedule below. All payments are due in United States dollars unless otherwise agreed in writing. Unless otherwise agreed, Seller reserves title to the goods until full payment is received.

Term and Termination

The term of this Order commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Order for material breach that remains uncured for a period of Notice Period (days): after receipt of written notice specifying the breach. Termination does not relieve Buyer of payment for goods delivered or services performed prior to termination.

Confidentiality

Each party agrees that non-public business information regarding pricing, specifications, proprietary designs, trade secrets, testing protocols, and other confidential information disclosed in connection with this Order ("Confidential Information") shall be kept confidential and shall not be disclosed to third parties except as required by law or with the other party's prior written consent. Confidential Information shall be used solely for performance and enforcement of this Order.

Warranty; Inspection; Returns

Seller warrants that the goods shall conform to the agreed specifications and be free from defects in material and workmanship for a period of Warranty Period: from delivery. Buyer must inspect goods within Inspection Period (days): and notify Seller in writing of any non-conformity. Remedies for valid warranty claims shall be repair or replacement at Seller's option.

Governing Law

This Order shall be governed by and construed in accordance with the laws of the jurisdiction of: without regard to its conflict-of-law principles. Venue for any dispute shall lie in the courts of that jurisdiction unless the parties agree otherwise in writing.

Entire Agreement

This Order, together with any exhibits, attachments, and referenced specifications, constitutes the entire agreement between Buyer and Seller with respect to the subject matter hereof and supersedes all prior negotiations, proposals, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
