Product Feedback and Evaluation Agreement

WHEREAS

1. WHEREAS, Company develops and distributes the product identified as Product Name: Version: , and seeks structured feedback and evaluation from qualified third parties.

2. WHEREAS, Evaluator has experience and expertise sufficient to provide product testing, usability assessment, and written feedback and agrees to perform the evaluation described herein.

3. WHEREAS, the parties desire to set forth the terms under which Evaluator will submit feedback, any compensation to be paid, and the rights of Company to use such feedback.

SCOPE OF WORK

Evaluator shall perform evaluation services consisting of testing, observation, written feedback, and any required surveys or reports as detailed below. Evaluator will deliver feedback in the formats and on the schedule agreed by the parties.

PAYMENT TERMS

Compensation for the evaluation shall be as follows:

Payment is due in accordance with the schedule above. Unpaid amounts not disputed in good faith within 15 days of invoice shall accrue late fees as set forth above.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after receipt of written notice. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

For the purposes of this Agreement, Confidential Information means non-public business, technical, product, or other information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall (i) maintain the confidentiality of Confidential Information with at least the same degree of care as it uses to protect its own confidential information, (ii) not disclose Confidential Information to third parties except as permitted herein, and (iii) use Confidential Information solely to perform its obligations under this Agreement. Confidentiality obligations survive for a period of three (3) years following termination unless otherwise required by law.

LICENSE TO USE FEEDBACK

Evaluator hereby grants Company a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, translate, distribute, and otherwise exploit any feedback, reports, suggestions, or other materials provided by Evaluator in any manner and for any purpose, provided that such use does not disclose Evaluator's Confidential Information contrary to the Confidentiality section.

DATA PROCESSING AND CONSENT

Evaluator acknowledges that submission of feedback may include personal data. By signing, Evaluator consents to Company processing contact and feedback data for purposes of evaluation, improvement, and commercial use in accordance with applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of: without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is found unenforceable, the remainder shall continue in full force. Neither party may assign this Agreement without the other party's prior written consent, except that Company may assign to an affiliate or successor in interest.
