Recitals

WHEREAS, Client has developed or distributes a product and desires to obtain structured feedback regarding product functionality, usability, reliability and feature prioritization; and

WHEREAS, Provider is experienced in conducting user feedback collection, analysis and reporting and is willing to collect and process feedback from designated participants under the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

Either party may terminate for material breach that remains uncured for days after written notice. Termination for convenience requires days' prior written notice.

Confidentiality

Each party agrees that Confidential Information of the other party shall be held in confidence and used solely for purposes of performing this Agreement. Confidential Information includes business, technical and product information disclosed in connection with feedback activities, whether disclosed orally, in writing or by inspection. Confidentiality obligations do not apply to information that (i) is or becomes publicly available without breach; (ii) is received from a third party without breach of an obligation of confidentiality; or (iii) is independently developed without use of the other party's Confidential Information.

Notwithstanding the foregoing, Client grants Provider a limited, non-exclusive, royalty-free right to use aggregated, anonymized feedback and statistical results for Provider's internal research and promotional materials provided that such materials do not identify Client or Client's users without separate written consent.

Permissions and Follow-up

Client permits Provider to publish aggregated feedback with attribution removed.

Client consents to Provider contacting designated participants for clarifying follow-up where permitted by applicable law.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law rules.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.
