PRODUCT LAB PRODUCT GUIDE AGREEMENT

This Product Lab Product Guide Agreement (the Agreement) is entered into as of by and between Provider Name: and Client Name: .

WHEREAS

WHEREAS, Provider operates a product laboratory and documentation practice offering product testing, specification, and guide preparation services; and

WHEREAS, Client desires that Provider prepare a Product Lab Product Guide describing product specifications, testing methodology, recommended use, and compliance considerations for the products identified in this Agreement; and

WHEREAS, Provider agrees to prepare and deliver the Product Guide under the terms and conditions set forth herein.

SCOPE OF WORK

Provider shall perform the services described below and deliver the Product Lab Product Guide (the Guide). The Guide shall include product specifications, materials and component lists, testing protocols, test results summaries, handling and storage recommendations, safety notices, and recommended labeling language as applicable.

DELIVERABLES AND TIMELINE

Provider will deliver draft Guide materials and a final Guide as described below. Client shall review and provide comments within the review periods specified.

PAYMENT TERMS

Client shall pay Provider the fees for the services and deliverables in accordance with the following terms.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated as set forth below.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above following written notice. Termination for convenience by Client prior to delivery of the final Guide shall require payment for work performed to date, reasonable wind-down costs, and reimbursement of third-party expenses incurred by Provider.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. Confidential Information includes nonpublic business, technical, product, test data, and commercial information disclosed in tangible or intangible form. Neither party shall disclose the other party's Confidential Information to third parties except as required by law or as necessary to perform its obligations hereunder, and shall use at least the same degree of care in protecting the other's Confidential Information as it uses to protect its own confidential materials, but in no event less than reasonable care.

Confidentiality obligations survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

INTELLECTUAL PROPERTY

Provider retains ownership of Provider's pre-existing materials, methodologies, and know-how. Subject to Client's payment in full, Provider hereby grants Client a non-exclusive, non-transferable license to use the final Guide for Client's internal commercial purposes. Any use of Provider's name, logo, or case study material for marketing shall require Provider's prior written consent.

WARRANTIES; LIMITATION OF LIABILITY

Provider warrants that the services will be performed in a professional manner consistent with industry standards. EXCEPT FOR THE FOREGOING, PROVIDER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL FEES PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to choice-of-law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses below or to such other address as either party designates in writing.

ADDITIONAL PROVISIONS

Independent Contractor. Provider is an independent contractor and nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the parties.

Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
