PRODUCT MATERIALS DESCRIPTION

This Product Materials Description (the "Description") is entered into by and between Client Name: and Supplier Name: on Effective Date: . The parties agree that the materials described below will be furnished, inspected, and accepted pursuant to the terms of this Description and the General Business Agreement between the parties.

WHEREAS

WHEREAS, Client requires certain product materials, components, and related specifications for use in its manufacturing, distribution, or resale activities; and

WHEREAS, Supplier has represented that it can source, produce, or deliver the specified materials to the standards, quantities, and delivery schedules set forth herein; and

WHEREAS, the parties desire to set forth, in writing, the detailed description of the product materials, quality requirements, delivery terms, payment, and confidentiality obligations applicable to such materials.

SCOPE OF WORK — MATERIALS DESCRIPTION

The following itemized material specifications, quantities, acceptable tolerances, handling and packaging requirements, and testing/inspection criteria constitute the materials to be supplied. Supplier shall ensure all materials conform to the specifications and shall notify Client in writing of any deviation prior to shipment.

PRODUCT MATERIALS LIST (ITEMIZED)

Additional items may be appended to this Description by mutual written agreement executed by authorized representatives of both parties. For any item not listed, Supplier shall obtain written approval from Client prior to production or shipment.

PAYMENT TERMS

All payments shall be made in the currency specified in the General Business Agreement. Supplier shall invoice Client in accordance with the payment schedule. Invoices not disputed in writing within ten (10) business days shall be deemed accepted. Late payments shall accrue the Late Payment Fee above plus reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

Either party may terminate this Description for material breach by the other party if the breach is not cured within the notice period specified above following written notice. Termination shall be without prejudice to any rights or remedies accrued prior to the effective termination date. Upon termination, Supplier shall, at Client's direction, return or securely destroy any Client materials and confidential information in Supplier's possession.

CONFIDENTIALITY

Supplier acknowledges that certain information regarding Client's product designs, specifications, forecasts, formulas, and business operations constitutes confidential information. Supplier agrees to (a) hold confidential information in strict confidence, (b) use such confidential information solely for the performance of this Description, and (c) not disclose confidential information to any third party except to Supplier's employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. The confidentiality obligations shall survive termination of this Description for a period of three (3) years, or longer if required by applicable law or contract.

GOVERNING LAW

This Description shall be governed by and construed in accordance with the laws of the governing jurisdiction agreed in the parties' General Business Agreement, without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts identified in that agreement for any dispute arising out of or relating to this Description.

ENTIRE AGREEMENT

This Description, together with any exhibits or attachments executed by the parties and the General Business Agreement referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment, modification, or waiver of any provision of this Description shall be effective unless made in a written instrument signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Supplier shall maintain records evidencing conformity with the specifications and shall permit Client or Client's designated auditor to inspect such records upon reasonable notice. Supplier warrants that materials supplied will conform to the specifications, be free from defects in material and workmanship, and be merchantable for their intended use for a period consistent with the General Business Agreement.
