RECITALS

PAYMENT TERMS

Unless otherwise agreed in writing, Client shall pay Vendor in accordance with the schedule set forth below. All payments are due in United States dollars and are non-refundable except as expressly stated.

This Proposal is effective upon Client's acceptance and shall commence on the Start Date and continue until the completion of the obligations described herein unless earlier terminated in accordance with this section.

CONFIDENTIALITY

Each party acknowledges that in connection with this Proposal it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in written, electronic, or oral form that is identified as confidential or that a reasonable person would understand to be confidential under the circumstances.

The receiving party shall (i) use Confidential Information only to perform obligations under this Proposal, (ii) protect Confidential Information with at least the same degree of care it uses for its own confidential information but not less than reasonable care, and (iii) not disclose Confidential Information to third parties except to those employees, agents or subcontractors with a need to know who are bound by confidentiality obligations no less protective than those set forth herein.

GOVERNING LAW

This Proposal and any dispute arising out of or relating to it shall be governed by the laws of: without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of courts located in the selected state for resolution of disputes, unless otherwise mutually agreed in writing.

ENTIRE AGREEMENT

This Proposal, together with any attachments, schedules, and the parties' written acceptance constituting the scope and pricing, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment or modification is effective unless in writing and signed by authorized representatives of both parties.

Acceptance: Client indicates acceptance of this Proposal and its terms by signing below. Acceptance that includes any additional or different terms will be considered a counteroffer unless expressly accepted in writing by Vendor.
