What a Product Scission Agreement Covers

A Product Scission Agreement is a legal contract that documents the division, transfer, or allocation of a product line, associated assets, intellectual property, and liabilities between parties following a corporate reorganization, divestiture, or joint venture. The agreement details which party acquires specific products, development responsibilities, inventory, licensing rights, warranties, and customer obligations. It sets effective dates, transition services, and indemnities to manage operational continuity. The document is typically used in mergers, spin-offs, carve-outs, and asset sales to clarify post-transaction rights and limit future disputes.

Why a Clear Scission Agreement Matters

A Product Scission Agreement reduces ambiguity after a carve-out by allocating assets, IP rights, and liabilities, establishing transition services, and creating dispute-resolution mechanisms to protect operational continuity and limit exposure for both transferring and receiving parties.

Why a Clear Scission Agreement Matters

Who Typically Prepares and Signs This Agreement

Typical users who prepare or sign the agreement include corporate legal teams, M&A advisors, product managers, and acquiring business units.

  • Corporate legal and compliance teams: draft allocation clauses, review warranties, and manage regulatory approvals.
  • Mergers & acquisitions advisors — structure transaction, value transferred assets, and coordinate due diligence and closing steps.
  • Product and operations managers — define product scope, migration plans, inventory handover, and ongoing support obligations.

Ensure participants have authority to bind their organizations and that signatories are listed with titles and contact information for enforcement.

Core Sections to Include in the Agreement

Core sections in a Product Scission Agreement define what transfers, how IP and liabilities are assigned, and how transitional operations, financial adjustments, and dispute resolution are handled.

Scope

Precisely identify product lines, SKUs, software versions, and related manufacturing or distribution agreements to transfer. Include catalog references, version numbers, and excluded items to avoid downstream disputes.

Intellectual Property

Detail assignment or licensing of patents, copyrights, trademarks, trade secrets, and source code. Specify license scope, sublicensing rights, maintenance responsibilities, and post-transfer ownership of derivative works.

Liabilities

Allocate existing liabilities, warranty claims, product recalls, and litigation responsibilities. Define cutoff dates, indemnity caps, insurance obligations, and processes for resolving pre- and post-transfer claims.

Transition Services

Describe temporary operational support such as IT, customer service, manufacturing, and logistics. Include service levels, duration, pricing, knowledge transfer, and escalation procedures for unresolved issues.

Financial Adjustments

Establish purchase price, allocation methodology, inventory valuation, working capital adjustments, payment terms, tax responsibilities, and procedures for post-closing adjustments or disputed accounting entries and reconciliation.

Dispute Resolution

Set governing law, jurisdiction, mediation and arbitration procedures, interim relief options, and recovery of fees. Clarify venue and enforceability of remedies across relevant jurisdictions and notice requirements.

Key Dates and Filing Deadlines to Track

Key dates and deadlines govern effective transfer, tax reporting, notice periods, and any post-closing adjustments in a Product Scission Agreement.

Effective Date Selection:

Choose start date affecting obligations and liability cutoff.

Closing Date:

Date when assets and rights legally transfer.

Tax Reporting Deadlines:

Coordinate with finance to meet IRS filing obligations.

Transition Service Period:

Specify start, duration, termination, and renewal terms.

Post-Closing Claims Window:

Set time limits for warranty and indemnity claims.

Practical Drafting and Execution Tips

Adopt clear drafting, consistent exhibits, and rigorous review to prevent ambiguity and future litigation; use structured appendices for asset lists and transition metrics.

Use precise schedules and exhibits
Attach detailed schedules listing SKUs, serial numbers, software builds, customer contracts, and inventory counts. Cross-reference each schedule in the agreement's operative clauses and ensure version control so parties can reconcile transferred items post-closing without ambiguity.
Document IP assignments and licenses clearly
Use explicit assignment language for patents and copyrights; update registries where applicable. Where licenses remain, state scope, exclusivity, sublicensing, territory, and duration; include procedures for future registrations, prosecution, and defense of asserted rights.
Specify transition service SLAs and pricing
Define measurable service levels, response times, escalation paths, and billing mechanisms for transition support. Tie payments to performance metrics, include termination triggers, and require regular reporting to monitor compliance and resolve service disputes.
Plan for tax and accounting adjustments
Agree on valuation methods, working capital targets, and audit procedures for post-closing reconciliations. Document who bears tax on pre-closing income, how adjustments affect payment streams, and dispute resolution for accounting disagreements.

Practical Examples of How Agreements Are Used

Two practical examples show how Product Scission Agreements allocate assets, transfer IP, and manage transition services in common corporate transactions.

Software Division Carve-Out

A technology company sold a software division and needed to transfer source code, support obligations, and licensing to a purchaser while retaining shared backend services.

  • Key point: assign code and define hosted services transition.
  • The agreement defined a schedule for code handover, created an interim support SLA paid monthly, secured IP registrations in the purchaser's name, and set a 12-month indemnity window for pre-existing vulnerabilities discovered after closing.

Consumer Product Divestiture

A manufacturer transferred a consumer line to a distributor and needed clear inventory valuation, warranty coverage allocation, and customer notification procedures to preserve brand continuity.

  • Key point: allocate warranty liabilities and customer support.
  • The scission specified inventory counts, set an escrow for warranty claims, required coordinated customer communications, and provided seller-funded transitional marketing support for six months to avoid service disruptions or brand confusion.
